Corporate Secretarial Manager
We are pleased to be partnering with a well-capitalized investment platform with an expanding footprint across Asia Pacific. Backed by institutional investors and focused on long-term infrastructure and real assets investments, the organization is undergoing an exciting phase of growth and operational evolution. As the business continues to scale its regional presence and strengthen its governance infrastructure, they are seeking to appoint a Corporate Secretarial Manager to support the next chapter of the platform's development.
Position Overview
Reporting into the Head of Corporate Governance, this position will play a key role in supporting the governance and corporate administration framework across the group's Singapore and regional entities. Sitting within a lean but highly collaborative legal and governance function, the successful candidate will work closely with senior stakeholders, investment professionals, and external advisors to ensure strong corporate governance standards and efficient entity management practices are maintained across multiple jurisdictions.
This opportunity is particularly suited to individuals who enjoy operating within a dynamic, build-phase environment where processes, frameworks, and governance structures continue to evolve alongside the business. Beyond core company secretarial responsibilities, the role offers meaningful exposure to board and committee matters, governance advisory work, and the opportunity to contribute toward operational improvements, digitalisation initiatives, and automation projects within the function.
Key Responsibilities
In this role, you will oversee the full spectrum of corporate secretarial and governance matters across a portfolio of Singapore and overseas entities. This includes managing board and shareholder meetings, preparing resolutions and statutory filings, maintaining corporate records, and ensuring ongoing compliance with relevant regulatory requirements and corporate governance obligations.
You will work closely with internal stakeholders on governance-related matters connected to investments, restructurings, financing activities, and entity lifecycle management, while also supporting various board and investment committee processes. The role will require regular interaction with external counsel, corporate secretarial vendors, auditors, regulators, and regional business teams to ensure governance standards are executed consistently across the organization.
A significant aspect of the position will involve helping the business strengthen and refine its governance framework as the platform continues to grow. This may include participating in process enhancement initiatives, implementing governance best practices, improving reporting structures, and identifying opportunities to streamline workflows through technology and automation tools.
The Successful Applicant
The ideal candidate will possess solid corporate secretarial experience gained within multinational corporations, investment platforms, professional services firms, or complex regional environments. Strong working knowledge of Singapore company law, ACRA-related matters, and governance requirements is essential, alongside the ability to independently manage a broad portfolio of entities with accuracy and attention to detail.
Experience supporting regional or cross-border entity structures will be highly advantageous, particularly within fast-evolving or growth-oriented organizations. Exposure to infrastructure, energy, investment management, private equity, real assets, or multinational corporate environments would be viewed favorably.
