Role Overview:
We're looking for a Corporate Paralegal to join our Singapore team. This role supports the firm's contracting and legal operations workflow, with a primary focus on high velocity execution of routine agreements (including corporate contracts and NDAs) and template driven document processes. The role interfaces with internal stakeholders across business teams and works closely with external counterparties to drive documents from intake through signature, while escalating non-standard, sensitive, or higher risk terms to the appropriate attorney for review.
Key Responsibilities
The position will support Graviton's growing global operations in Singapore. Key responsibilities include:
- Contract administration and NDA processing: Draft, review, and negotiate non disclosure agreements, employment contracts, and other standard commercial contracts using established templates and playbooks. Identify deviations from preapproved language and prepare fallback positions or escalations when terms exceed threshold triggers.
- Template and playbook management: Maintain a library of legal templates (NDAs, vendor agreements, employment documents, board resolutions, etc.) and ensure these documents reflect current legal standards and company policies. Update playbooks with new fallback positions and ensure that escalations to legal counsel are properly documented.
- First pass drafting and redlines: Provide firstpass drafting and redlining of routine agreements and corporate documentation. Highlight material changes, track outstanding revisions and manage version control so that attorneys can review efficiently.
- Contract lifecycle tracking: Manage the endtoend lifecycle of contracts and NDAs, from initial request through execution and filing. Maintain accurate records, status reports and calendars for renewal and termination dates. Liaise with internal stakeholders (operations, HR, compliance, trading desks) to gather information and approvals.
- General legal support: Coordinate with teams across global offices, and other jurisdictions on matters such as entity formation, board consents and visa/immigration paperwork. Work across time zones to ensure tasks are completed promptly.
- Compliance and governance: Assist with regulatory requests, company secretarial tasks and corporate governance matters. Ensure documents comply with best practice in Singapore and other jurisdictions.
Qualifications
We are looking for a resourceful selfstarter who can operate with limited legal oversight. Successful candidates will have:
- 5-8 years of corporate paralegal experience handling commercial contracts and corporate governance matters. Experience working in a law firm or inhouse legal department of a financialservices firm such as banks, prime brokers, FinTech start-ups, is strongly preferred.
- Expertise in NDAs and template based contracting with a demonstrated ability to draft, review and redline standard agreements independently, including identifying nonstandard terms and recommending fallback language. Experience in broker agreements, ISDA agreements, KYC onboarding and annual reviews, is strongly preferred.
- Draft, review, and maintain internal policies, procedures, and guidelines across legal, compliance, and operational functions. Ensure documentation is clear, consistent, and aligned with regulatory requirements and company standards.
- Familiarity with corporate governance and entity maintenance tasks e.g. preparing board and shareholder resolutions, maintaining minute books.
- Strong organizational skills and ability to manage multiple matters simultaneously. Proven track record of meeting tight deadlines, communicating progress to stakeholders and operating across time zones.
- Excellent written and verbal communication skills in English. Ability to summarise legal issues clearly and concisely for both lawyers and nonlawyers.
- Technical proficiency with word processing, document management systems.
- High ethical standards and a clear understanding of the distinction between paralegal work and the practice of law; willingness to seek attorney guidance on matters that require legal judgment.
