We are seeking an experienced corporate governance professional to support the Head of Legal and Company Secretary in managing the Bank's board governance framework. This is a pivotal role at the intersection of legal, regulatory, and board-level engagement, ideal for a seasoned corporate governance practitioner who thrives in a fast-moving, digitally native banking environment and wants ownership over the full board governance lifecycle.
Responsibilities:
Board & Committee Management
- Manage the end-to-end board process, reporting to the Head of Legal and Company Secretary
- Partner closely with the Board Chairman, CEO, and senior stakeholders to shape board and board committee agendas and prepare high-quality board materials
- Work with the Executive Committee to ensure directors receive accurate, complete, and timely information to support well-informed decision-making on matters requiring board approval
Governance & Policy
- Maintain and implement board policies, including director induction, ongoing training, and board succession planning, working closely with directors and relevant stakeholders
- Serve as a trusted advisor on corporate governance and board-related matters, including conflicts of interest, disclosures, and compliance with the Companies Act 1967, the Banking (Corporate Governance) Regulations 2005, and MAS Guidelines on Corporate Governance
- Stay abreast of evolving regulatory expectations for locally incorporated banks and digital banks in Singapore, and translate these into practical governance guidance
Regulatory & Stakeholder Engagement
- Partner with Group Corporate Governance and the external corporate secretariat firm on constitutional documents, corporate structures, statutory returns, and regulatory filings
- Support responses to queries from regulators, and internal and external auditors, on corporate governance matters
- Act as a key liaison between internal stakeholders and external counsel on governance-related matters
Broader Legal & Business Support
- Support the Head of Legal and Company Secretary in developing and maintaining standard documentation templates and governance frameworks
- Contribute to key business initiatives, providing legal and governance input as needed
Requirements:
- Degree in Law preferred; qualified lawyer or Chartered Secretary an advantage
- At least 12 years of relevant experience in legal or corporate secretariat roles within a financial institution, preferably at a locally incorporated bank; digital bank experience a plus
- Prior experience engaging directly with regulators (e.g. MAS) strongly preferred
- Strong working knowledge of Singapore laws and regulations governing corporate governance in banking
- Meticulous, highly organised, and proactive, with sound judgment and the ability to work independently under pressure and manage competing priorities
- Excellent stakeholder management skills, comfortable engaging with board directors, senior management, and regulators
- Strong command of spoken and written English and Mandarin (to liaise with Mandarin-speaking stakeholders and counterparts)
