Job Description
We are supporting a Japan-linked holding company in Singapore that is currently preparing for a potential SGX listing. The Singapore entity functions as a regional holding company and works closely with headquarters in Japan as well as overseas group entities.
The company is seeking a Corporate Admin Manager to support corporate administration, governance coordination, and company secretarial-related functions during the IPO preparation phase.
This role will work closely with internal stakeholders across Singapore and Japan, as well as external advisors including auditors, legal counsel, and other professional firms involved in the SGX listing preparation process.
Key Responsibilities
IPO Preparation & Governance Support
- Support the preparation of IPO-related materials including prospectus documentation and disclosure-related materials
- Coordinate with external advisors including auditors, legal counsel, and other professional firms involved in SGX listing preparation
- Assist with the development and maintenance of corporate governance frameworks and internal processes
- Support internal control and compliance initiatives aligned with SGX listing requirements
- Assist in preparing governance and disclosure processes required for post-listing operations
Board & Committee Secretariat Support
- Coordinate board meetings, committee meetings, and shareholders meetings
- Prepare meeting notices, agendas, supporting materials, and related documentation
- Prepare and maintain meeting minutes in English and Japanese where required
- Maintain corporate records and governance-related documentation
Compliance & Corporate Administration
- Maintain and update internal regulations, governance policies, and corporate documentation
- Monitor compliance with relevant regulations including the Singapore Companies Act and SGX Listing Rules
- Support company secretarial and entity administration matters for related entities and subsidiaries
- Assist with governance and compliance administration across the group structure
Cross-Border Coordination
- Coordinate with stakeholders across Japan headquarters including Corporate Planning, Finance & Accounting, HR & General Affairs, Legal, and Overseas Business teams
- Support communication and reporting between Singapore and Japan entities
- Assist with implementation of governance and compliance-related initiatives across overseas entities
Requirements
Experience
- Minimum 5 years of experience in corporate administration, governance, company secretarial, or related functions
- Experience supporting board meetings, governance documentation, or corporate administration processes
- Experience working with multiple stakeholders across departments and external parties
Language Requirements
- Business-level proficiency in Japanese and English is required, as the role involves regular coordination with Japan headquarters, preparation and review of governance-related documentation, and participation in meetings conducted in Japanese and English

- Familiarity with corporate governance and compliance processes
Preferred Qualifications
- ICSA / CGI / SAICSA qualification or related governance certification
- Experience supporting SGX-listed companies or IPO preparation activities
- Exposure to SGX Mainboard or Catalist governance environments
- Experience working within Japanese corporates or Japan-linked multinational organisations
- Familiarity with legal, compliance, or company secretarial functions
- Background within professional services, audit firms, or legal environments would be advantageous
