About the Position
The Commercial Counsel will act as the primary legal point of contact for the Asia Pacific (APAC) region. Reporting directly to the General Counsel, this role is responsible for leading contracting strategy across the region and partnering closely with Sales and business stakeholders to support commercial growth.
Primary Responsibilities
General Legal
Serve as the first point of contact for legal matters across the APAC region
Partner with the General Counsel and external legal advisors to provide practical, business-oriented legal advice
Ensure high quality legal support aligned with business objectives
Contract Negotiation
Partner with Regional Sales Leaders and Account Executives to negotiate customer contracts, including SaaS, licensing, and professional services agreements
Act as the lead legal contact for customer negotiations across APAC
Draft, review, and negotiate customer contracts
Advise internal teams on contract interpretation and support resolution of contractual disputes
Identify trends and recurring challenges in negotiations to improve contracting strategy and processes
Develop and maintain contract templates and a contracts database
Manage engagement with external counsel for country-specific legal requirements
Compliance
Support and manage compliance with global regulations including FCPA, UK Bribery Act, and OFAC
Maintain working knowledge of data protection laws and regulations across relevant jurisdictions
Candidate Requirements & Qualifications
7-10 years of relevant legal experience, with a strong focus on commercial contracts
Proven experience working within international organisations, supporting cross-border legal matters
Strong background in drafting, reviewing, and negotiating commercial agreements (e.g. SaaS, licensing, services)
Prior law firm training is advantageous, but not essential
Demonstrated ability to work autonomously, with sound judgement and the confidence to act as a key legal advisor
Experience partnering with commercial teams (e.g. Sales, Finance, Operations) in a fast-paced environment
Working knowledge of global compliance frameworks (e.g. FCPA, UK Bribery Act, OFAC)
Exposure to employment law, intellectual property, or related areas is beneficial
Strong communication, stakeholder management, and problem-solving skills
Highly organised with the ability to manage multiple priorities across regions
