Job Description

Hospitality.SG is supporting a rapidly growing travel technology company building digital platforms that transform how travelers discover, book, and experience travel. Our platform integrates travel supply, dynamic pricing, payments, and personalized discovery to deliver seamless travel experiences across global markets.

Following our Series B financing, the company is entering a phase of accelerated growth, international expansion, and strategic partnerships with airlines, hotels, mobility providers, and travel distribution partners.

We are seeking a Chief Legal Officer (CLO) to lead the company's global legal strategy, oversee regulatory and compliance frameworks, and serve as a trusted advisor to the CEO, executive leadership team, and Board of Directors.

Role Overview

The Chief Legal Officer will be responsible for all legal, regulatory, compliance, and corporate governance matters across the organization. This executive will play a critical role in enabling the company's global expansion, supporting strategic transactions, and building scalable legal infrastructure appropriate for a high-growth technology business.

Key Responsibilities

Strategic Legal Leadership

  • Serve as the primary legal advisor to the CEO, executive leadership team, and Board of Directors.
  • Develop and implement the company's global legal strategy aligned with business growth.
  • Provide strategic legal guidance on international expansion, product launches, and market entry.
  • Balance legal risk management with commercial decision-making in a fast-moving startup environment.

Corporate Governance

  • Oversee all corporate governance matters and ensure adherence to regulatory requirements.
  • Manage Board and committee governance processes, including board materials, resolutions, and policies.
  • Advise executives and directors on fiduciary duties and governance best practices.
  • Maintain corporate structures across jurisdictions and oversee entity management.

Fundraising and Strategic Transactions

  • Lead legal workstreams for venture financings, including Series rounds, secondary transactions, and debt facilities.
  • Support mergers, acquisitions, joint ventures, and strategic investments.
  • Structure and negotiate strategic partnerships and commercial alliances.
  • Manage relationships with external counsel for complex transactions.

Commercial Contracts and Partnerships

  • Oversee drafting, negotiation, and management of commercial agreements.
  • Support agreements with airlines, hotels, travel suppliers, and distribution partners.
  • Manage enterprise customer contracts, SaaS agreements, and technology partnerships.
  • Develop scalable contracting processes and internal approval frameworks.

Regulatory and Compliance

  • Ensure compliance with global regulations affecting travel technology platforms.
  • Oversee compliance with consumer protection, travel licensing, and digital platform regulations.
  • Monitor regulatory developments affecting the travel, payments, and technology sectors.
  • Develop and maintain internal compliance policies and risk management frameworks.

Data Privacy and Cybersecurity

  • Lead company-wide data protection and privacy compliance programs.
  • Ensure compliance with regulations such as GDPR, PDPA, and other applicable privacy laws.
  • Work closely with engineering and security teams on privacy-by-design practices.
  • Oversee incident response and regulatory reporting related to cybersecurity or data breaches.

Product and Technology Legal Support

  • Advise product and engineering teams on legal frameworks for platform features and marketplace operations.
  • Support development of consumer terms of service, platform policies, and user agreements.
  • Provide guidance on intellectual property, licensing, and technology development matters.
  • Evaluate legal implications of emerging technologies including AI and data-driven services.

Risk Management and Dispute Resolution

  • Identify and manage legal risks across operations and international markets.
  • Oversee disputes, litigation, and regulatory investigations.
  • Develop proactive strategies to mitigate operational and reputational risks.
  • Manage relationships with external law firms and legal advisors.

Legal Team and Operations

  • Build and lead a scalable legal function aligned with the company's growth.
  • Implement legal operations systems including contract management tools and legal workflows.
  • Manage legal budgets and optimize use of external counsel.
  • Develop internal legal policies, playbooks, and best practices for the organization.

Qualifications

Experience

  • 1218+ years of legal experience with significant leadership responsibilities.
  • Experience as General Counsel, Chief Legal Officer, or senior legal leader in a high-growth technology company preferred.
  • Strong experience supporting venture-backed companies through financing and expansion.
  • Deep expertise in commercial transactions, corporate governance, and regulatory compliance.
  • Experience in travel technology, online marketplaces, fintech, or consumer internet platforms is highly advantageous.

Education

  • Juris Doctor (JD / LLB equivalent) from a recognized law school.
  • Admission to practice law in at least one major jurisdiction.

Capabilities

  • Strong commercial judgment and ability to translate legal risk into business decisions.
  • Proven negotiation and deal structuring capabilities.
  • Experience working closely with founders, investors, and boards of directors.
  • Ability to operate effectively in a fast-paced startup environment.
  • Strong leadership, communication, and cross-functional collaboration skills.
