About the Role
We are seeking an experienced Banking & Finance Legal Counsel (812 years PQE) to provide hands-on legal support for the Groups diverse financing activities. The role will focus on advising, drafting, and negotiating a wide range of financing documentation (including syndicated and bilateral loans, trade finance, and sustainability-linked facilities), supporting Treasury and Finance teams on funding strategies, and managing cross-border transactions with external counsel and lenders.
Key responsibilities:
Advise, draft, review and negotiate:
- On all legal aspects of banking and financing transactions, including syndicated and bilateral loans, revolving credit facilities, receivables/trade finance, guarantees/letters of credit, intra-group financing, intercompany loans as well as green and sustainability linked loans. Experience in reviewing project financing agreements would be a bonus; and
- APLMA/LMA and bespoke financing documentation, including term sheets, loan agreements, inter-creditor agreements, security documentation, and waivers/amendments.
Play a key role in the groups diverse financing activities by:
- Supporting internal stakeholders (e.g., Banking, Treasury and Finance teams) on financing structures, corporate funding strategies, refinancing and debt structuring mechanisms;
- Ensuring alignment with internal risk, compliance, and corporate governance frameworks;
- Managing external counsel and coordinating internal legal support for cross-border transactions;
- Providing pragmatic, solutions-focused advice on dynamic issues in complex, cross-border financing; and
- Supporting negotiation and liaising with lenders and financial institutions as needed.
Monitor developments in banking and finance laws and regulations that could impact the group and proactively advise relevant functions.
Requirements:
Qualifications
- Law degree from a reputable university and qualified to practise in a common law jurisdiction
- 812 years of post-qualification experience (PQE) in banking and finance law
- Proven track record with complex financing documentation and structures, with exposure to both lender-side and borrower-side issues
- Proficient in English (verbal and written); working knowledge of Mandarin and/or Bahasa Indonesia is an advantage

- Strong stakeholder management across Treasury, Finance, Banking teams, lenders, and external counsel
