Position Overview
We are seeking an experienced Legal Counsel to support primarily our real estate development business in Singapore, real estate investment trust as well as to support businesses that are governed under the laws of Singapore. The successful candidate will provide legal guidance across the full life cycle of property development projects, including land acquisition, project financing, construction, leasing, and divestment. This role involves advising on regulatory compliance, structuring transactions, managing risks, and safeguarding the company's interests in all legal matters.
What We Are Looking For:
- Draft, review, and negotiate contracts, including joint ventures, mergers, acquisitions, disposals, and other corporate or commercial transactions.
- Provide advice on company law matters and corporate governance requirements.
- Manage legal aspects of financing transactions, including loan documentation and security arrangements.
- Support legal aspects of GLS (Government Land Sales) tender acquisitions, en bloc purchases and subsequent developments.
- Provide legal guidance on structuring, documentation, and execution of real estate investments and related transactions.
- Ensure compliance with applicable laws, regulations, and internal policies across the Group's entities.
- Advise management on regulatory developments in Singapore and Malaysia relevant to business operations.
- Provide legal guidance on corporate governance and compliance, in line with the Sunway Group policies and liaise with the external Company Secretary with company secretarial matters relevant to the Singapore entities.
- Manage dispute resolution relating to property development, tenancy, financing matters and others, including managing external counsel where necessary.
- Provide strategic advice to mitigate risks and resolve disputes effectively.
- Provide legal support to the Singapore corporate office and its subsidiaries on operational and corporate matters.
Qualifications:
- Bachelor's Degree in Law (LLB) from a reputable university in Singapore, Malaysia, England or Australia.
- Admitted and qualified to practice law in Singapore; admission to the Malaysian Bar will be an added advantage.
- Minimum 68 years experience in corporate/commercial law, with exposure to real estate, financing, company law and cross-border transactions.
- Strong knowledge of Singapore legal framework is essential.
- Experience with compliance, loan documentation, and joint venture agreements will be highly valued.
- Excellent drafting, negotiation, and communication skills.
- Strong business acumen with the ability to balance legal risks with commercial objectives.
Functional Competency and Skills:
- High proficiency primarily English. Proficiency in Mandarin and Bahasa Malaysia would be an added advantage.
- Excellent communication, negotiation, and stakeholder management skills.
- Ability to work independently while managing multiple projects in a fast-paced environment.
