Position Overview
We are recruiting for an Assistant Manager level Corporate Secretary position to be seconded to a Private Equity firm. This role offers an excellent opportunity to work directly within a dynamic PE environment while being employed by our client, a leading professional services firm. The position focuses on deal processing and portfolio company management across multiple jurisdictions.
Key Responsibilities
- Support PE fund deal lifecycle from due diligence through closing and post-acquisition integration
- Coordinate corporate secretarial aspects of acquisitions, disposals, and restructuring transactions
- Manage entity structures across multiple jurisdictions
- Prepare and review transaction documents, board resolutions, and corporate authorizations
- Liaise with external counsel, auditors, and service providers on deal-related matters
- Manage corporate secretarial affairs across APAC jurisdictions
- Organize and coordinate board meetings, including preparation of board packs and minutes
- Ensure compliance with statutory and regulatory requirements across multiple jurisdictions
- Handle statutory filings, corporate registrations, and regulatory notifications
- Maintain accurate corporate records and data management systems
Requirements
Experience:
- Minimum 5-7 years corporate secretarial experience, preferably in financial services
- Prior exposure to private equity, asset management, or fund administration
- Experience with multi-jurisdictional entity management (Singapore, Hong Kong, BVI, Cayman Islands preferred)
Qualifications:
- Diploma in Law and Management or related field
- Professional qualifications in corporate governance (ICSA, ACIS) preferred or in progress
- Strong knowledge of Singapore Companies Act and regional corporate laws
Technical Skills:
- Proficiency in corporate secretarial software
- Strong Microsoft Office skills
- Experience with document management systems
