Senior Associate/Associate Director - Corporate Secretary - Singapore

A leading global fund services provider is seeking an experienced Corporate Secretary to join its growing Singapore business. The successful candidate will provide senior-level corporate secretarial and governance support to a portfolio of institutional clients, investment managers, private equity and real estate structures, VCCs and other investment vehicles.

This is a senior, client-facing position with responsibility for managing complex corporate structures, advising boards and senior stakeholders, overseeing governance requirements and leading a team of corporate secretarial professionals.

Key Responsibilities

Manage a portfolio of Singapore and international investment and corporate structures, including VCCs, funds, holding companies and SPVs.
Provide high-quality corporate secretarial and governance advice to clients, directors and senior management.
Coordinate and attend board and committee meetings, prepare agendas and board papers, take minutes and ensure appropriate follow-up on resolutions and actions.
Maintain statutory registers and corporate records and oversee statutory compliance.
Advise clients and boards on changes to Singapore company law, regulatory requirements and corporate governance matters.
Oversee incorporations, restructurings, share transfers, director appointments/resignations, changes to constitutional documents and other corporate actions.
Support fund launches, acquisitions, restructurings and other corporate transactions from a governance and company secretarial perspective.
Work closely with fund administration, legal, compliance, accounting and client relationship teams to deliver an integrated service.
Act as a senior point of escalation for complex client and governance matters.
Ensure corporate secretarial processes comply with the requirements applicable to Singapore CSPs, including relevant AML/CFT/PF and fit-and-proper obligations.
Lead, coach and develop a team of corporate secretarial professionals, maintaining high standards of technical and client service delivery.
Contribute to the development and growth of the Singapore corporate secretarial offering.

Candidate Profile

10+ years experience in corporate secretarial / company secretarial services.
Strong experience gained within a fund administrator, corporate services provider, fiduciary business, professional services firm or law firm.
Experience servicing investment funds, VCCs, private equity, real estate or alternative investment structures.
Strong board and governance experience, including preparation of board papers and minutes.
Experience managing sophisticated institutional clients and multiple corporate structures.
Previous experience leading or supervising a corporate secretarial team.
Strong commercial and client-management skills, with the confidence to deal directly with senior executives, directors and investment professionals.
