Job Description

Position: Senior PE Buyout Counsel (12-18PQE)

Location: Shanghai/ Singapore

Reports to: Deal team

Our client is a leading alternative asset management firm with multi-billion USD assets under management. We are seeking for a senior PE lawyer with substantial expertise in cross-border buyout transactions. The successful candidate will lead complex M&A and buyout deals from structuring to execution, oversee post-acquisition portfolio governance, and support major fund management initiatives.

Key Responsibilities

  • Lead the legal strategy, structuring, and execution for cross-border control buyouts, growth equity investments, and joint ventures across APAC and global markets.
  • Oversee transaction documentation, regulatory filings, and complex deal mechanics, including debt financing and co-investment structures.
  • Partner with investment and operating teams on post-acquisition governance, bolt-on M&A, corporate restructurings, and value creation initiatives.
  • Advise senior leadership on liquidity and exit solutions, including initial public offerings, trade sales, and secondary buyouts.
  • Direct top-tier law firms to ensure efficient deal delivery and cost optimization.
  • Serve as a trusted legal advisor to senior leadership and the Investment Committee on deal-level risk allocation and fund-level strategic decisions.

Key Requirements

  • Credentials: Qualified lawyer with a Juris Doctor (J.D.) or LL.B. from a top-tier law school. Admitted to practice in a major jurisdiction
  • Experience: 15+ years of PQE, with a proven track record handling control buyouts and complex M&A transactions. Prior senior-level experience at a leading international law firm (US/UK Magic Circle) and/or a premier private equity fund is required. Leadership experience is a plus!
  • Technical Expertise: Deep knowledge of buyout transaction structures, cross-border equity/debt mechanics, joint ventures, and exit mechanisms
  • Languages: Fluent written and spoken English and Mandarin, as the role requires handling cross-border transaction documentation and communicating with Mandarin-speaking senior stakeholders.
  • Professional Competencies: Strong commercial judgment, deal-closing leadership, and the ability to operate effectively within an entrepreneurial, high-velocity investment environment.
