About Antalpha

Antalpha is a fast-growing global financial technology group providing digital asset solutions, institutional-grade risk management, and multi-jurisdiction corporate infrastructure. With operations spanning Asia, Europe, and the U.S., we focus on building a robust governance foundation to support scalable growth, strategic expansion, and disciplined execution across all business units.

Role Summary

This role leads the Group Governance PMO, driving cross-functional governance initiatives, M&A integration efforts, and multi-jurisdiction entity oversight. It is ideal for individuals from a Big 4 background (Deals, M&A, Tax, TS, Governance, Risk) who can bring structure, clarity, and discipline to complex group-level environments.

Note: This is not a compliance or corporate secretarial role.

Key Responsibilities

1.Group Governance PMO

  • Lead governance programs, frameworks, and policy standardisation across the group.
  • Prepare concise governance packs, reporting decks, and updates for senior leadership.
  • Ensure clear documentation, structured communication, and process discipline.

2.M&A Integration & Group Structuring

  • Support M&A integration plans, governance alignment, and entity onboarding.
  • Collaborate with Tax, Legal, and Finance on group structuring and tax-efficient planning.
  • Track integration milestones, risks, dependencies, and cross-team deliverables

3.Multi-Jurisdiction Governance Coordination

  • Maintain a group governance calendar covering filings and statutory/regulatory obligations.
  • Coordinate with regional teams and external CoSec providers across SG, HK, BVI, Cayman, EU, US, and Japan.
  • Ensure governance consistency and timely adherence across all jurisdictions.

4.Governance Risk & Gap Management

  • Identify gaps in governance documentation, entity management, and reporting.
  • Recommend and drive corrective actions through to closure.

Qualifications:

  • 812 years of relevant experience, with Big 4 experience strongly preferred (Deals, M&A, Transaction Services, Tax, Governance, or Advisory).
  • Strong exposure to M&A, post-merger integration, group structuring, or tax planning.
  • Experience running cross-functional, multi-country governance or PMO initiatives.
  • Exceptional organisation, documentation, and project governance skills.

Nice to Have

  • Familiarity with compliance, AML, or regulatory governance.
  • Experience partnering with corporate secretarial teams.

Education & Certifications

  • Degree in Business, Finance, Accounting, Law, or related fields.
  • Certifications such as PMP, PRINCE2, CA/CPA, CTA, or ICSA are advantageous.
