Job Description

It's never been a more exciting time to join Vistra.

At Vistra our purpose is progress. We believe that our clients have the power to change the world and to do great things for global progress, and we exist to remove the friction that comes from the complexity of global business – to help our clients achieve progress without friction.

But progress only happens when people come together and take action. And we're absolutely committed to building a culture where our people can do just that.

We have an exciting opportunity for you to join our team as a Senior Manager within Corporate Development, leading the integration of acquired companies and the separation of divested businesses. This full-time role offers regional coverage and the chance to make a significant impact on our inorganic growth agenda.

Purpose of the Role:

The Senior Manager leads the planning and execution of complex integration, separation and carve-out programmes through the Integration & Separation Management Office (I&SMO). Operating at deal pace across the full transaction lifecycle – pre-deal planning through Day 1, TSA exit and end-state – the role takes ownership of programme outcomes, acts as a trusted advisor to deal sponsors and senior leadership, and ensures deal objectives are achieved, value is realised, and disruption to the business is minimised across M&A transactions.

Key Responsibilities:

1. Integration, separation & carve-out leadership

  • Lead end-to-end design and execution of integration, separation and carve-out programmes aligned to deal rationale and value drivers, including separation blueprints, Day 1 and Day 100 planning, and end-state operating model transition.
  • Direct the I&SMO across multiple concurrent workstreams and jurisdictions, owning programme plans, milestones, interdependencies and critical path.
  • Shape integration/separation strategy with deal teams pre-signing, including operational due diligence input, entanglement assessment and one-off cost estimation.
  • Own TSA strategy end-to-end: scoping, schedule design, costing, negotiation support, service delivery governance and exit.
  • Safeguard business continuity and operational stability through transition, escalating and resolving cross-functional issues at pace.

2. Stakeholder management & advisory

  • Act as primary point of contact for deal sponsors, functional leads and target/buyer counterparties across the programme.
  • Advise C-suite and executive stakeholders, and workstreams on strategy, sequencing, trade-offs and decision points, with clear, commercially grounded recommendations.
  • Lead steering committee and executive forum reporting; own the quality and decision-usefulness of all governance materials.
  • Challenge scope, resourcing and timelines where required to protect delivery and manage execution risk.

3. Governance, risk & value realisation

  • Own programme governance: status, risks, issues, decisions and financial impacts, reported to board-grade standard.
  • Lead synergy and value-creation tracking with deal teams; own the one-off cost budget, including forecasting and variance management.
  • Proactively manage programme risk, ensuring mitigants (regulatory, legal, operational, people) are identified, owned and actioned.

4. Leadership & team development

  • Lead and develop I&SMO team members and geographically dispersed functional workstream leads; coach, delegate and quality-assure deliverables.
  • Model delivery standards and behaviours; provide day-to-day leadership on the ground during live transactions.

5. Capability & practice building

  • Evolve integration/separation playbooks, I&SMO standards, tools and templates; embed lessons learned across transactions.
  • Contribute to Corporate Development pipeline activity, including diligence support and integration/separation feasibility input on prospective deals.

Requirements:

To succeed in this role, you'll need:

  • 7+ years of relevant experience in M&A integration/separation, carve-outs, operational due diligence, and/or business transformation or performance improvement programmes – gained in Big 4 / strategy consulting, an in-house corporate development, IMO or transformation function, or a combination. Candidates with strong transformation delivery backgrounds and some M&A exposure are encouraged to apply.
  • Track record leading complex, cross-functional, multi-jurisdictional programmes at deal pace, with direct exposure to C-suite and board-level stakeholders.
  • Demonstrable experience across several of: TSAs, Day 1 / Day 100 planning, synergy and cost tracking, target operating model design, and large-scale organisational or functional transformation.
  • Strong commercial and financial acumen; able to link programme decisions to deal value and P&L impact.
  • Excellent structuring, synthesis and communication skills – able to distil complex, high-volume information into clear, executable recommendations and board-grade materials.
  • Proven ability to lead, coach and influence dispersed teams without direct authority, and to re-prioritise rapidly as deal requirements evolve.

Desirable

  • Programme management qualifications (e.g. PMP, Prince2, MSP) or MBA.
  • Experience in professional services, fund services or other regulated, multi-jurisdictional environments.
  • Additional language skills.
