Role Summary
SDAX is seeking a Senior Legal Counsel to lead legal matters across the Group, with a focus on capital markets, regulatory compliance, and corporate governance. The role involves providing legal advice on MAS regulations and the Securities and Futures Act, supporting tokenisation initiatives, and working closely with senior management on strategic legal issues.
Key Responsibilities
- Support the SDAX Group as the in-house legal function and provide legal support and advice on a broad range of corporate, commercial, and regulatory matters, with a focus on legal and regulatory issues relating to the Securities and Futures Act, as well as corporate and commercial matters.
- Drafting and maintaining a suite of legal templates and documents necessary for the business and operations of a digital asset exchange (listing and trading of securities and units of collective investment schemes).
- Drafting, negotiating and reviewing legal documentation to support origination teams on the structuring, offering, and distribution of tokenised capital market products, including digital tokens and tokenised securities.
- Dispute resolution management, prevention and mitigation across SDAX Group entities.
- Advising and working closely with senior management and board members on corporate legal matters including corporate governance, adherence to the Companies Act, applicable articles of the constitution and shareholder agreements.
Requirements
- Qualified lawyer with at least8+ years PQE, including substantial experience with the Securities and Futures Act, structuring and debt capital markets, either in-house in a fintech, financial institution, or in private practice.
- Solid knowledge of relevant MAS regulations.
- Strong background in financial services, debt capital markets, and structured products.
- Demonstrated ability to independently handle complex regulatory and cross-border transactional matters
- Excellent drafting, negotiation, and communication skills.
- Experience in compliance regulatory reporting, AML/KYC, internal audits, and policy development will be an added advantage.
- Proven stakeholder management and the ability to work cross-functionally with business, compliance, and tech, and operations teams.
- Comfortable working in a fast-paced, agile environment and balancing commercial goals with regulatory obligations.
- Experience in fintech, capital markets, or asset management industries is highly desirable.
