Senior Legal Counsel, Financing

About the Company

Our client is a investment and private capital platform with investments across Southeast Asia. The team is involved in a broad range of structured financing, private credit, investment, and cross-border transactions, and is looking to hire a commercially minded Legal Counsel to partner closely with the business and senior leadership.

Responsibilities

You will provide legal support across a wide range of financing, investment, and corporate transactions, including structured lending, secured financing, trade finance, private credit, joint ventures, and M&A. You will draft, review, and negotiate transaction documents such as loan and facility agreements, security documents, shareholder and joint venture agreements, supply and offtake contracts, and commercial agreements. You will manage legal due diligence, identify legal and regulatory risks, coordinate external counsel across multiple jurisdictions, and support transaction execution from inception to completion. In addition, you will advise on corporate governance matters, support board and shareholder approvals, oversee KYC and transaction compliance processes, and drive the continuous improvement of legal templates and documentation processes.

Requirements

You should be a qualified lawyer with approximately 8-12 years PQE gained in private practice and/or an in-house legal role. Experience in banking and finance, structured finance, trade finance, private credit, project finance, commodities, or investment transactions will be highly regarded. You should have strong drafting and negotiation skills, be commercially minded, and possess the ability to manage multiple cross-border transactions independently. Experience working with senior stakeholders and external counsel across regional jurisdictions will be advantageous.
