Position Overview
The Senior Director & Counsel will be a key member of the international legal team responsible for Take-Two's activities throughout Asia and ANZ and shall provide a broad array of legal advice and services, with a primary focus on commercial, development and publishing contracts, in addition to other general business, regulatory &compliance matters.
KeyResponsibilities:
. Leading on drafting and negotiating a wide range of commercial contracts, including vendor services agreements, licence agreements, sales and distribution agreements with retailers, distributors, and platform operators, IT agreements and development and publishing agreements.
. Acting as lead counsel to internal marketing,PR and communications teams on the clearance of advertising and marketing campaigns and materials, the organisation of contests and prize draws, data protection matters and other legal issues applicable to their activities.
. Providing support to Take-Two's global compliance team in its role of ensuring regulatory compliance in EMEA and managing/mitigating risk.
. Managing company secretarial matters forTake-Two's international subsidiaries, including serving as the primary point of contact for certain assigned territories.
. Acting as a key partner for internalbusiness teams, including, Sales, Finance, Operations, Treasury, Tax, WorkplaceServices, HR (including Payroll & Benefits).
. Managing and interfacing with outside legalcounsel in different international jurisdictions.
. Managing and mentoring other junior legalteam members.
Key Skills:
. Strong academic background
. Commercially minded lawyer, qualified in a common law jurisdiction with at least 15 years PQE.
. Strong corporate and commercial background, with extensive experience in drafting and negotiating different types of commercial agreements.
. Desire to work in a fast-paced environment with tight deadlines and a clear ability to work on multiple urgent matters simultaneously and autonomously.
. Strong experience of working in an international environment throughout APAC highly desirable, including prior exposure to working with US publicly listed companies and particularly in the international video games business industry will be highly advantageous.
. Significant experience of understanding relevant laws and practices in the Asia/ANZ region.
. Must possess a keen intellect, attention to detail, excellent communication skills, and an ability to translate legal-speak for the business succinctly.
. Proactive, organised, and able to influence and interact at all levels of the organisation, including senior management.
. Must possess good judgement and self-confidence, but also respect for others, and a desire to be a great teammate.
. Fluency in the English language(written and spoken) essential, other Asian languages may be useful but not necessary.
