Job Description
We are hiring a Senior Corporate Secretary for the Legal Centre of Excellence of a global top-tier cryptocurrency exchange (80M+ users, 200+ jurisdictions). Based in Singapore on-site, reporting into the global Corporate Secretary function. This role owns entity lifecycle, statutory compliance and board governance across Singapore + APAC + offshore entities.
We welcome candidates from: top-tier CSP, in-house at MNC / GLC / listed companies, law firm corporate / M&A paralegals, or high-level EA / PA / Chief of Staff to founders / C-suite in tech, internet or Web3 who want to pivot into corporate governance.
About the Role
- End-to-end entity management: incorporation, restructuring, dormant, strike-off, SPV / GP-LP coordination
- ACRA / BizFile+ annual returns, registers, officer and share changes, constitutional documents
- Board and shareholder governance: agendas, circulars, written and physical resolutions, minutes, quorum, conflicts handling
- Cross-jurisdiction documentation: SG + MY + HK + Cayman / BVI, apostille / legalisation, local agent coordination
- Corporate actions: funding rounds, SAFEs / convertibles, intra-group reorganisation, M&A support
- Liaise with auditors, tax, external counsel, CSPs, registrars, banks
- Maintain filing calendar, entity management platform (Viewpoint / Diligent / EMP), privilege and confidentiality controls
Must-Have
- 3–10 years in corporate secretarial / legal ops / paralegal / senior EA-PA with governance exposure
- Hands-on with Singapore Companies Act and ACRA; familiarity with at least one offshore regime (Cayman / BVI / HK / MY)
- Meticulous, discreet, thrives in 24/7 global teams
- Professional fluency in written and spoken Chinese is required. The candidate must manage portfolios from China and Hong Kong, draft bilingual board resolutions, and translate financial and corporate documents into Mandarin.

- Ex-Tricor / TMF / Vistra / Big4 CSP / Magic Circle or top Singapore law firm corporate team

- Exposure to fund entities (GP / LP / SPV / carry), SGX-listed governance, cap table
