Duties and Responsibilities
- Technical Expertise: Demonstrate strong knowledge of the Singapore Companies Act, corporate governance and applicable regulatory and compliance requirements.
- Corporate Secretary Appointment: Be willing to act as the named Company Secretary for clients within the assigned portfolio and support them in meeting their statutory obligations.
- Portfolio Management: Independently manage an assigned portfolio of companies, ensuring high-quality work is completed accurately and within established timelines.
- Client Advisory: Liaise with and advise clients on annual statutory obligations and ad hoc matters, including changes to corporate structures and other statutory requirements.
- Regulatory Compliance: Manage statutory filing deadlines and prepare/review Board minutes, notices, resolutions, ACRA BizFile filings and IRAS e-Stamping.
- Corporate Secretarial Work: Handle incorporation, changes in officers and shareholders, share allotments and transfers, changes in share capital, registered office changes, annual returns and other corporate actions.
- Client Relationships: Maintain professional and effective relationships with clients and respond to corporate secretarial and compliance enquiries.
- Due Diligence: Perform Customer Due Diligence checks in accordance with the firm's policies and procedures and assist junior team members with more complex CDD matters.
- Client Onboarding: Coordinate corporate secretarial aspects of client onboarding and ongoing compliance requirements.
- Billing: Monitor recurring and ad hoc billing matters for the assigned client portfolio and follow up on outstanding items where required.
- CRM & Records: Maintain accurate, complete and timely corporate records and information within the firm's CRM and corporate secretarial systems.
- Junior Staff Support: Provide technical guidance, mentoring and on-the-job training to junior team members, without direct people-management responsibility.
- Workflow Coordination: Coordinate work orders and assignments relating to the assigned portfolio and work with other departments to ensure timely completion.
- Nominee Administration: Assist with the administration of professional nominee directors and secretaries and related documentation.
- Stakeholder Liaison: Liaise with ACRA, IRAS, banks and other statutory bodies and third-party business partners as required.
Desired Skills:
- At least 5 years of relevant corporate secretarial experience, preferably within a professional services firm.
- Strong working knowledge of the Singapore Companies Act, ACRA requirements and corporate governance practices.
- Strong technical corporate secretarial and client advisory skills.
- Ability to independently manage a portfolio of clients and prioritise competing deadlines.
- Good communication and interpersonal skills, including the ability to guide and support junior colleagues.
- High level of discretion when handling sensitive and confidential information.
- Strong organisational and time-management skills with the ability to manage multiple assignments simultaneously.
- Ability to work effectively in a fast-paced, results-oriented environment while maintaining accuracy and professional standards.
