We are partnering with an established private markets investment manager / General Partner to appoint an experienced Paralegal – Investment Funds to join its Singapore-based legal team.
This is a strong opportunity for an experienced funds paralegal who has developed substantial technical and execution capabilities within a leading law firm, asset manager, private equity firm or other investment management environment.
Reporting to the Head of Legal and working as part of an established legal team, the successful candidate will play an important role supporting the firm's fundraising, fund formation, investor, corporate and transactional activities.
Responsibilities
- Supporting the firm's fundraising and fund formation activities, including new fund launches, subsequent closings and ongoing fund-related matters.
- Preparing, reviewing and coordinating subscription documentation, side letters, investor questionnaires, closing documentation and related fund materials.
- Managing the execution and completion process for fund documentation across multiple investors and entities.
- Coordinating with investors, external counsel, fund administrators and other service providers throughout fundraising and closing processes.
- Maintaining and managing fund documentation, precedent materials, trackers, data rooms and closing sets.
- Supporting amendments, transfers, investor onboarding and other ongoing matters relating to existing funds.
- Assisting the legal team with corporate and transactional matters, including investments, acquisitions, disposals, restructurings and other transactions.
- Preparing and coordinating corporate approvals, board resolutions, shareholder documentation, powers of attorney and other corporate materials.
- Supporting the review and negotiation of NDAs and other routine commercial agreements.
- Assisting with corporate governance and entity management across the firm's funds, GP entities and related investment structures.
- Liaising with external counsel and coordinating legal workstreams across relevant jurisdictions.
- Supporting the Head of Legal and wider legal team on ad hoc legal, regulatory and business projects.
Requirements
- At least 5 years experience as a paralegal, legal executive or equivalent legal professional.
- Strong experience in investment funds, private funds, private equity or investment management.
- Experience gained within a leading international law firm, reputable local law firm, private equity firm, asset manager or financial institution.
- Hands-on familiarity with fund formation and fundraising processes, including subscription documentation, side letters and investor closings.
- Strong document management and transaction coordination capabilities.
- Exposure to corporate, M&A or private equity transactions would be advantageous.
- The ability to manage multiple transactions and workstreams independently and accurately.
- Strong drafting, organisational and stakeholder-management skills.
- A proactive and commercially minded approach, with the confidence to work directly with lawyers, investment professionals, investors and external advisers.
