Job Title: Paralegal (Commercial)

The ideal candidate will support the APAC legal function across global operations, working closely with the General Counsel and serving as a key support partner on commercial, corporate, compliance, and company secretarial matters.

The role involves ensuring regulatory compliance, managing contract workflows, and supporting the establishment and ongoing governance of corporate entities across multiple jurisdictions. Based in Singapore, the position contributes to international projects and global sales activities.

Responsibilities

  • Draft, review, and manage standard commercial agreements, including customer contracts, vendor agreements, NDAs, and service-level arrangements
  • Identify contractual risks, key commercial terms, and compliance requirements
  • Maintain accurate contract records, ensuring proper filing, version control, and database organization
  • Coordinate contract execution processes, including internal approvals and signature workflows
  • Support company secretarial matters, including preparation of directors resolutions, shareholders resolutions, meeting minutes, and statutory corporate documents
  • Assist in implementing and supporting group compliance initiatives, including anti-corruption and modern slavery programs
  • Provide support on corporate initiatives, cross-border projects, and ad-hoc legal matters for APAC and international ventures
  • Liaise with external legal counsel, service providers, and business stakeholders on legal documentation and information requests
  • Support compliance policy implementation in areas such as anti-bribery, data privacy, confidentiality, and other regulatory frameworks
  • Track contractual obligations, regulatory deadlines, and statutory filing requirements to ensure timely compliance
  • Provide project and coordination support for legal initiatives, corporate restructurings, and entity management activities
  • Act as a liaison between legal teams, business units, and external advisors across regions
  • Perform additional legal and administrative tasks as required to support the legal function

Qualifications

  • 35 years of legal support experience in private practice or an in-house legal environment, preferably within a corporate legal function
  • Experience in corporate governance and company secretarial work, including resolution management and coordination with external vendors
  • Bachelor's degree or equivalent practical experience; paralegal certification is an advantage
  • Solid understanding of corporate compliance requirements and multi-jurisdictional regulatory frameworks
  • Experience in commercial contracts and contract management processes
  • Strong organizational and time-management skills, with the ability to manage multiple priorities and deadlines
  • High attention to detail and strong documentation accuracy
  • Strong written and verbal communication skills
  • Analytical, self-motivated, and comfortable working in a fast-paced, international environment
  • Able to work cross-functionally, maintain confidentiality, and build effective relationships with internal and external stakeholders
