Job Description

To provide corporate secretariat support to the Group Secretariat function which provides oversight and guidance to ensure alignment of practices across the Great Eastern group.

  • Ensure compliance with statutory and regulatory requirements through effective maintenance of corporate secretarial records and filings.
  • Manage end‑to‑end Board, Board Committee, and shareholder meeting processes, including preparation of materials and meeting administration.
  • Draft high‑quality Board and Board Committee minutes, resolutions, and shareholder documentation in line with governance standards.
  • Lead the preparation and coordination of regulatory disclosures, including SGX announcements and MAS submissions.
  • Support the delivery of Annual Reports and shareholder circulars, with responsibility for corporate governance disclosures.
  • Provide corporate governance advisory support across listed and regulated entities, including Board composition and independence assessments.
  • Manage stakeholder engagement, including coordination with internal teams, subsidiaries, and external advisors on governance matters and responding to director / shareholder / stakeholder queries.
  • Drive governance excellence through risk awareness, continuous improvement and transformation of workflows, and support for digitalisation projects.
  • Possess a law degree from a reputable university and called to the Singapore Bar (preferred).
  • Minimum 8-10 years of relevant corporate secretariat experience in a public listed company (preferably in a financial institution or a reputable organisation/service provider) or have at least 3-5 years PQE at a law firm or as in-house counsel.
  • Strong working knowledge of the Singapore Companies Act, SGX-ST Listing Rules and Code of Corporate Governance (CG). Familiarity with CG guidelines and regulations issued by MAS is advantageous.
  • Excellent drafting, analytical, and organisational skills, with a high level of attention to detail and accuracy in documentation.
  • Strong stakeholder management and interpersonal skills, with the ability to engage effectively with senior management, directors, and external advisers.
  • Proficiency in safe usage of AI tools would be an advantage.
  • Ability to work independently while contributing effectively as part of a team in a fast‑paced environment.
  • Proactive, self‑driven, and solutions‑oriented, with a strong sense of accountability and commitment to continuous improvement.
