Deal Execution (End-to-End)
- Execute sell-side and buy-side M&A mandates across Southeast Asia, including cross-border transactions, corporate carve-outs, strategic partnerships/JVs, minority investments, and sponsor-led processes.
- Own core execution workstreams end-to-end: process planning, diligence management, financial analysis, valuation, materials drafting, Q&A coordination, and timeline control.
- Coordinate across parties (client, buyers/investors, legal counsel, accountants, tax advisors, lenders, regulators) to drive progress from launch to close.
- Lead preparation and management of data rooms, diligence trackers, bid processes, management presentations, and key milestones.
Financial Analysis & Valuation
- Build/review robust financial models from scratch (3-statement, DCF, trading comps, precedent transactions, merger models; LBO where relevant).
- Perform valuation and deal scenario analysis (synergies, sensitivities, accretion/dilution, purchase price mechanics, funding structures).
- Translate analysis into clear, investment-banking grade outputs for client decision-making.
Marketing & Client Materials
- Draft and oversee high-quality deliverables: pitch books, teasers, CIM/IM, management presentations, valuation packs, board/IC materials, and internal committee documentation.
- Support senior bankers in shaping positioning, messaging, and strategic rationale tailored to SEA sector and buyer universe.
Stakeholder & Process Management
- Maintain strong working-level client relationships; demonstrate commercial maturity and client-ready communication.
- Manage and respond to complex deal requests quickly and accurately, balancing multiple priorities under tight timelines.
- Ensure adherence to internal policies, approvals, compliance and governance throughout the transaction lifecycle.
Leadership & Team Development (VP emphasis)
- Associate: mentor analysts; quality-check outputs; proactively manage own workstreams.
- Vice President: act as day-to-day deal quarterback-run internal/external workstreams, guide junior team execution, and support senior bankers on client management and selected origination activities.
Required Qualifications
Experience
- Associate: typically 3-6 years of relevant experience in investment banking M&A / corporate finance / M&A advisory with strong execution exposure.
- Vice President: typically 6-10+ years of investment banking experience with proven ownership of deal workstreams and client-facing responsibilities.
- Demonstrated end-to-end SEA M&A transaction experience, ideally across multiple SEA jurisdictions (e.g., Singapore, Indonesia, Malaysia, Thailand, Vietnam, Philippines).
Technical & Execution Skills
- Excellent financial modeling and valuation capability; strong accounting and corporate finance fundamentals.
- Strong project management: ability to run detailed diligence and execution processes with discipline and urgency.
- Strong drafting skills and high attention to detail; consistently produces client-ready materials.
- Comfortable working in fast-paced environments with demanding timelines.
