We are looking for a Legal Manager based in Singapore to work closely with and support the Legal Director. This role covers the full spectrum of legal support - from investment and M&A transactions to cross-border projects and routine commercial activities - while playing a key part in strengthening the company's legal operations and compliance infrastructure across the region.
Responsibilities
- Provide legal support for investment, M&A, equity partnerships, and other strategic transactions.
- Support M&A activities end-to-end, including legal due diligence, risk assessment, and deal structuring discussions.
- Draft, review, and negotiate transaction documents including investment agreements, shareholder agreements, financing documents, NDAs, and commercial contracts.
- Draft, review, and negotiate commercial agreements aligned with business objectives while minimizing legal and commercial risks.
- Support cross-border projects and routine commercial activities assist in identifying and managing legal and compliance risks.
- Coordinate with external counsel to drive project execution and transaction completion.
- Develop, maintain, and standardize legal documents, contract templates, and documentation practices across the region.
- Assist with contract management, corporate governance, and internal compliance systems.
- Undertake other legal and related tasks as assigned.
Requirements
- Bachelor's degree or higher in Law, Legal Studies, or a related discipline.
- At least 3 years of relevant legal experience in a law firm and/or in-house legal function, preferably with exposure to investment, mergers & acquisitions, and cross-border commercial transactions.
- Proven ability to independently draft, review, and negotiate commercial agreements and legal documentation.
- Strong commercial awareness, stakeholder management, communication, and project coordination skills in a fast-paced business environment.
- Proficiency in English is required as it is the primary working language for internal and external business communications.
- Proficiency in both English and Chinese (written and spoken) is required to support the review, drafting, and negotiation of legal and commercial documents with Chinese-speaking counterparties, investors, and regional stakeholders.
- Prior experience in the data centre, technology, internet, cloud computing, or AI-related industries will be an advantage.
