Director / Head of Legal

We are a fast-growing AI infrastructure company focused on enabling next-generation computing through cloud computing platforms and data center technologies. Our solutions support large-scale AI workloads and high-performance computing, helping enterprises and research institutions deploy AI applications efficiently.
As the company enters a rapid scaling phase with a long-term vision toward public listing in the United States, we are looking for a Director / Head of Legal to establish and lead the company's legal function globally.
This role will be the first legal hire and will play a key role in building the company's legal infrastructure and preparing the organization for future IPO and international expansion.
Key Responsibilities
Legal Leadership & Team Building
- Establish and lead the company's legal function from the ground up
- Design the legal structure, processes, and governance framework
- Recruit and build a high-performing in-house legal team over time
- Serve as a trusted legal advisor to the CEO and executive leadership
IPO & Corporate Governance
- Support the company's IPO preparation in the United States
- Work closely with external counsel, investment banks, and advisors on IPO readiness
- Build and maintain corporate governance frameworks
- Ensure compliance with relevant securities regulations
Commercial & Technology Legal
- Draft and negotiate enterprise technology agreements, including:
- Cloud services agreements
- Data center contracts
- Strategic partnerships
- Licensing and technology agreements
- Support global sales and partnership teams in complex enterprise deals
Regulatory & Compliance
- Ensure compliance with applicable regulations in Singapore and the United States
- Advise on data privacy, cross-border data transfer, and technology regulations
- Develop internal compliance programs and policies
Strategic Business Partner
- Provide proactive legal guidance for international expansion
- Support M&A, fundraising, and strategic partnerships
- Partner with finance and leadership on risk management and corporate strategy
Requirements
- 12-18+ years of legal experience, ideally combining top law firm and in-house experience
- Strong experience in technology, cloud computing, data centers, or AI infrastructure industries
- Prior experience supporting IPO preparation or public company operations, preferably with US capital markets exposure
- Demonstrated experience building or scaling a legal function
- Strong knowledge of Singapore or US legal frameworks (experience in both is highly desirable)
- Ability to work closely with executive leadership in a fast-growing startup environment
- Excellent commercial judgment and negotiation skills
Preferred Background
- Experience working in AI infrastructure, cloud platforms, semiconductor, or data center companies
- Experience with US securities law or NASDAQ / NYSE listing process
- Familiarity with cross-border corporate structures and international operations
