About the Role

We are seeking a highly motivated Legal Counsel to support our international Legal & Compliance (L&C) team. The successful candidate will be working with members of the team on a wide variety of matters, including transactional, regulatory and compliance, administrative and corporate secretarial.

Sectoral coverage includes private credit, venture capital, funds, M&A, general corporate and commercial.

What You Will Do

Transactional & Investment Support

  • Provide legal advice and transaction execution support for private credit and structured finance deals.
  • Draft, review, and negotiate financing agreements, security documents, intercreditor agreements, and fund documentation.
  • Support deal structuring, due diligence, and legal risk assessment for private credit and fund investments.
  • Coordinate with external counsels on legal and regulatory aspects of local and cross-border financings involving complex structures.

Regulatory & Compliance

  • Monitor and advise management and business teams on legal and regulatory developments affecting our various business verticals in applicable jurisdictions, by partnering with local L&C teams or external counsels.
  • Support licensing or registration applications, regulatory filings, and interactions with financial authorities in applicable jurisdictions, in collaboration with local L&C teams or external counsels.
  • Develop and implement internal policies, frameworks and guidelines to ensure compliance with legal and regulatory requirements.

Corporate Governance, Risk & Secretarial

  • Assist the Governance function with corporate governance matters, including group management agreements and global business entities management.
  • Assist the Risk function with credit, liquidity and market risk analysis.
  • Support corporate secretarial functions, including drafting minutes and corporate resolutions and ensuring compliance with market best practices.

L&C Risk Management & Dispute Resolution

  • Identify, assess, and mitigate legal and regulatory risks across the businesses where applicable.
  • Provide advice and support on contentious matters where applicable, including litigation / arbitration management, developing case-by-case strategy and approach, and liaising with external counsels on enforcement actions.

General Corporate & Commercial Support

  • Draft, review and negotiate a variety of commercial contracts, including a wide range of service agreements, NDAs, and vendor contracts.
  • Provide strategic, ad hoc, ongoing or project-based advice and support to senior management, various corporate functions and investment teams.
  • Support internal training initiatives on legal and compliance matters.
  • Assist with such other tasks as may be assigned by the General Counsel or other stakeholders from time to time.

What You Will Bring

  • Bachelor's degree in a relevant field, and having been called to the bar in Singapore or a Commonwealth jurisdiction.
  • Excellent academic credentials and requisite legal training at a reputable law firm.
  • Minimum 6 years of post-qualification experiences in private legal practice, in-house experiences would be preferable but not essential.
  • High standard of work quality and deliverables, including strong technical, analytical and organisational skills and ability to provide problem-fit solutions.
  • Excellent time management skills, with the ability to manage multiple priorities whilst maintaining excellent attention to detail and accuracy, and meet competing deadlines under pressure.
  • Excellent written and verbal communication skills, with the ability to communicate effectively and succinctly with senior leaders, stakeholders and peers, and various external parties.
  • An independent self-starter, proactive, able to take initiatives without instructions, and be accountable for the work assigned.
  • Fluidity of mindset, able to adapt and embrace challenges and constructive feedback, and willing to learn difficult new concepts.
  • Proficiency in Microsoft Office and DocuSign or other similar execution platforms.
  • Happy, sunny, easy-going personality, and enjoy working in a small but expanding team.
