We are looking for a Legal Counsel to provide practical, commercially oriented legal support to a multinational group's Singapore entities, with selected involvement in Asia Pacific matters. The role covers first-level contract review and drafting, legal research, corporate secretarial support, data protection and compliance implementation, reporting to the Head of Legal. Material, complex or higher-risk matters are escalated rather than owned outright, making this suited to a lawyer building depth across a broad in-house remit.
Key Responsibilities
- Provide practical and commercially oriented legal advice to business stakeholders across the Singapore entities.
- Review and draft standard commercial contracts and support contract negotiations.
- Identify non-standard, material or higher-risk contractual matters and escalate them to the Head of Legal or designated counsel.
- Maintain contract templates, standard clauses and legal guidelines in collaboration with regional legal teams, and support improvements to contract-management processes across Asia Pacific affiliates.
- Research assigned legal issues, prepare recommendations, and support disputes and claims through information gathering and documentation preparation.
- Support corporate secretarial matters for the assigned Singapore entities, including statutory filings, corporate records and governance documentation.
- Provide procedural guidance on corporate secretarial governance to entities across the Asia Pacific region.
- Support data protection processes alongside Data Protection Officers, reviewing the collection, use and disclosure of personal data and supporting corrective action where required.
- Support responses to data protection enquiries, assessments, investigations and regulatory requests under the guidance of the Head of Legal.
- Support the implementation and maintenance of compliance policies covering ethics, anti-corruption, competition law, healthcare compliance and information security, and help regional subsidiaries apply them consistently.
- Develop legal and compliance training materials and deliver awareness programmes to the business.
- Support the adoption and continuous improvement of legal technology solutions, and maintain precedents, templates, guidance notes and other knowledge resources.
Requirements
- Bachelor of Laws (LLB) or Juris Doctor (JD), with admission to practise law in Singapore or another relevant common-law jurisdiction.
- Post-qualification experience in corporate and commercial legal work, gained in private practice, an in-house legal function, or both.
- Experience reviewing and drafting standard commercial contracts and conducting legal research.
- Working knowledge of Singapore company law, including requirements relating to board and shareholders resolutions, corporate records and statutory filings.
- Working knowledge of compliance and data protection requirements. Exposure to multi-jurisdictional or Asia Pacific matters is an advantage.
- Ability to manage assigned work reliably, recognise matters requiring escalation, and work effectively with business stakeholders and other members of the legal team.
- Strong legal research, drafting, organisational and communication skills.
