A confidential opportunity with an established investment platform seeking a commercially minded Legal Counsel to support legal, fund structuring and cross-border business matters within a growing international environment.
Key Responsibilities
- Lead fund formation, structuring and documentation work with strong exposure to Singapore VCC structures and related investment vehicles.
- Draft, review and negotiate investor, commercial and corporate legal documentation including subscription agreements, side letters, NDAs, vendor and service agreements.
- Support entity incorporation, governance and maintenance activities across fund and management company structures, working closely with corporate secretarial and external partners.
- Partner internal stakeholders across investment, operations and management teams to provide practical, business-oriented legal guidance on day-to-day matters.
- Manage external counsel, cross-border legal projects and legal matters involving multiple jurisdictions.
Key Requirements
- Qualified lawyer admitted in Singapore, Hong Kong or another comparable common law jurisdiction.
- Approximately 4–7 years PQE with strong exposure to funds, investment management or asset management legal work.
- Hands-on Singapore VCC fund formation experience is essential; exposure to Cayman funds, OFCs or similar structures is advantageous.
- Strong drafting, negotiation and commercial contracting capability, ideally gained in-house or within a reputable funds practice.
- Proficiency in Mandarin would be advantageous
