With a strong foundation in regulated financial services and a growing portfolio of wealth products spanning traditional (Web2) and digital asset (Web3) ecosystems, we are expanding our legal team to support our fund structuring and fund management activities.
The Role
We are seeking an experienced VCC Lawyer to join our Singapore team. You will be the primary legal counsel for our fund management activities, with a sharp focus on Variable Capital Companies (VCCs), offshore fund structures, and cross-jurisdictional regulatory compliance. This is a high-impact role offering exposure to both conventional wealth products and next-generation digital asset offerings.
You will work closely with Asia Green Fund Management, Alpha Ladder Finance, and group entities to structure, launch, and maintain investment funds, while navigating the evolving intersection of traditional finance and digital assets.
Key Responsibilities
Fund Structuring & VCC Expertise
- Lead the legal structuring, incorporation, and ongoing governance of VCC funds (standalone and umbrella structures) under Singapore's Variable Capital Companies Act
- Draft, review, and negotiate VCC constitutions, Private Placement Memoranda (PPM), Information Memoranda (IM), Limited Partnership Agreements, and Investment Management Agreements
- Advise on MAS regulatory requirements applicable to VCCs, including permissible fund manager obligations, AML/KYC frameworks, and investor eligibility criteria
- Support fund re-domiciliation into Singapore's VCC framework where applicable
Offshore & Multi-Jurisdictional Funds
- Provide legal support for offshore fund vehicles (e.g., Cayman Islands, BVI, Luxembourg) alongside Singapore-domiciled structures
- Coordinate with external counsel across jurisdictions to ensure consistent governance and regulatory compliance
- Advise on cross-border marketing, distribution, and investor onboarding considerations
Regulatory & Compliance Advisory
- Serve as the key legal advisor on MAS regulations affecting fund management, including the Securities and Futures Act, Fund Management Code, and Notice on Prevention of Money Laundering
- Support regulatory filings, licence maintenance, and MAS correspondence for Asia Green Fund Management and related entities
- Monitor regulatory developments in Singapore and key offshore jurisdictions impacting fund structures and digital asset funds
Wealth Products — Web2 & Web3
- Provide legal coverage for a broad range of wealth and investment products, including traditional collective investment schemes, structured products, and managed accounts
- Advise on digital asset fund products, tokenised investment vehicles, and RWA (Real-World Asset) tokenisation structures leveraging Alpha Ladder Finance's RMO and custody infrastructure
- Support the legal framework for Web3-native wealth solutions, including digital asset custody, staking products, and tokenised fund units
Transaction & Commercial Support
- Conduct legal due diligence for investments, co-investment vehicles, and strategic partnerships
- Draft and negotiate service provider agreements (administrators, custodians, auditors, prime brokers)
- Advise on fund governance, director duties, and investor relations matters
What We're Looking For
- Qualified lawyer (Singapore-qualified or common-law jurisdiction) with 4–7 years of post-qualification experience in investment funds, asset management, or financial services
- Deep expertise in Singapore VCCs — demonstrated track record in VCC incorporation, structuring, and ongoing compliance
- Strong knowledge of MAS regulatory framework for fund managers (CMS licence requirements, RFMC/LFMC regimes, AML/KYC)
- Experience with offshore fund structures (Cayman, BVI, or Luxembourg)
- Familiarity with digital assets, tokenisation, or Web3 financial products is a plus — prior exposure to DPT services, RWA tokenisation, or crypto fund structures would be advantageous but is not mandatory
- Commercial mindset with ability to operate in a fast-paced, multi-entity fintech environment
- Excellent drafting, negotiation, and stakeholder management skills
