Legal Counsel for Quantitative Asset Management

About our client

A technology-driven quantitative hedge fund founded in 2018, specializing in AI and machine learning-powered trading strategies across global futures and equity markets. Looking for a commercially sharp Legal Counsel to own the legal workstream end-to-end.

What you will be doing

• Lead the drafting, review and negotiation of fund constitutive documents, with a particular focus on Singapore Variable Capital Companies (VCCs)
• Prepare and negotiate subscription agreements, side letters, investor onboarding documentation and disclosure materials
• Draft, review and negotiate commercial contracts across vendor, technology, data, NDA and IP arrangements
• Support entity incorporation and ongoing governance across fund and management company structures, including overseas office set-up
• Prepare and maintain template employment agreements and advise on employment matters across jurisdictions
• Work alongside Compliance on the legal interpretation of regulatory requirements affecting fund operations and licensing
• Instruct and manage external counsel on specialist and cross-border matters; help manage legal spend
• Provide pragmatic, commercially grounded legal advice to the investment, operations and management teams

What we are looking for

• Qualified lawyer admitted in Singapore, Hong Kong, or a comparable common law jurisdiction
• 4 to 7 years PQE with substantive funds or investment management legal experience
• Hands-on experience in Singapore VCC formation is essential; familiarity with Cayman funds or Hong Kong OFCs is an advantage
• Solid commercial contracting experience across a range of agreement types
• Background in-house at an asset or fund manager, or in a funds practice at a reputable law firm
• Strong drafter and negotiator, able to operate with limited supervision
• Cross-border exposure (China, India, Middle East) is a plus
