The Opportunity
Reporting to and assisting the Vice President, Legal &Corporate Secretariat with the legal and corporate secretarial functions in support of the growing business within the Group, and making sure appropriate and effective legal processes are in place to manage legal exposures.
The incumbent is also expected to anticipate and guard against legal risks by developing and recommending solutions and positions to protect the Group's interest.
Responsibilities:
- Assist with the Group's legal and corporate secretarial activities.
- Provide legal advice and services in support of business activities, including drafting and/or reviewing business contracts and agreements, to ensure legal compliance and provide advice and necessary recommendation in managing legal and commercial exposures.
- Assist with the corporate secretarial and regulatory compliance requirements for the companies within the Group, and supporting the respective Boards in meetings and passing resolutions.
- Review and implement best practice corporate guidelines and policies with regards to legal and corporate secretarial matters and compliance.
- Assist with M&A activities, including deal structuring with regards to the legal aspect, legal due diligence, and other relevant compliance activities.
- Liaise with external professionals when necessary.
- Provide legal training to sales & project team.
- Strengthen business support and effectiveness around legal process, identify areas and work on process improvement on ongoing basis.
Requirements:
- Degree in Law.
- 4-6 years of related working experiences.
- Professional Qualification/Certification: Admission to the Singapore (and/or an overseas) Bar is essential.
- Knowledge of the laws of Singapore and any APAC, EMEA and/or Americas jurisdiction(s) will be advantageous.
- Demonstrated collaborative, negotiation and problem solving skills.
- Experience in corporate governance work in Singapore and other jurisdictions and complex corporate structures.
- Understanding and experience in working with M&A, and other complex transactional work.
- Exceptional legal analysis and writing skills.
- Ability to coordinate and effectively manage large amounts of complex work.
- Ability to analyse statutes/regulations and provide recommendations
- Ability to effectively interact with different types/levels of people including senior business leaders.
- Ability to integrate business and legal considerations to produce practical and cost effective legal advice.
- Experience and proven capability to advocate legal/regulatory position with government officials and industry bodies.
- Strong interpersonal, communication and negotiation skills.
- Demonstrated skills in handling multiple tasks and working in cross functional teams.
