Role Overview
We are seeking a Legal Counsel to support the company's corporate, commercial, regulatory, and intellectual property matters across multiple jurisdictions. This role will work closely with business, product, and regional stakeholders to ensure legal compliance while enabling commercial growth, particularly in a technology / gaming environment.
This position is ideal for a lawyer with strong law firm training, hands-on in-house experience, and proven capability in cross-border transactions, data privacy, and IP enforcement.
Key Responsibilities
Corporate & Commercial
- Support and manage corporate transactions, including investments, joint ventures, restructurings, and internal reorganisations.
- Draft, review, and negotiate a wide range of commercial agreements, including NDAs, SPAs, shareholders agreements, service agreements, licensing and vendor contracts.
- Partner with business teams to provide practical, solution-oriented legal advice aligned with commercial objectives.
Corporate Governance & Compliance
- Assist in developing and maintaining group-wide governance frameworks, policies, and internal controls.
- Support board, shareholder, and entity-level governance matters across jurisdictions.
- Monitor regulatory developments and ensure ongoing compliance with applicable laws.
Data Privacy & Regulatory
- Develop, review, and maintain privacy policies and internal data governance frameworks in compliance with GDPR and other applicable data protection regimes.
- Advise on cross-border data transfers, regulatory inquiries, and data-related disputes.
- Collaborate with product and tech teams on privacy-by-design initiatives.
Intellectual Property & Enforcement
- Manage and support the company's IP protection and enforcement strategies, including trademarks, copyrights, and related rights.
- Address infringement risks such as pirated games, cheat bots, gray-market activities, and unauthorised derivative works.
- Coordinate with external counsel on IP disputes and enforcement actions.
Cross-Border & Special Matters
- Support cross-border M&A and financing transactions, including due diligence and multi-jurisdictional coordination.
- Assist with matters relating to U.S. sanctions, CFIUS-related issues, and international regulatory risks where relevant.
- Manage external counsel efficiently and cost-effectively.
Requirements
- Qualified lawyer admitted in at least one recognised jurisdiction.
- 3-6+ years of post-qualification experience, ideally with a combination of top-tier law firms and in-house experience
- Strong foundation in corporate transactions, commercial contracts, and cross-border legal matters.
- Practical exposure to data privacy, regulatory compliance, and intellectual property issues.
- Ability to work independently in a fast-paced, cross-functional environment.
- Strong drafting, analytical, and risk-assessment skills with a business-oriented mindset.
- Ability to collaborate effectively with international stakeholders and external counsel.
