Job Description
Our client is a well-established organisation with a regional footprint across APAC. They are seeking a commercially astute Legal Counsel to join their team in Singapore, supporting a broad mix of corporate, transactional and governance matters.
This is an excellent opportunity for a mid-level lawyer who enjoys working close to the business while gaining exposure to cross-border transactions and regional legal initiatives.
Key Responsibilities of Legal Counsel – Corporate, Commercial & M&A:
- Act as a legal partner to the business on corporate, commercial, and transactional matters across the region
- Draft, review, and negotiate a range of agreements, including investment and transaction documentation (e.g. term sheets, SPAs)
- Support deal execution by coordinating internal approvals and ensuring timely progression of transactions
- Oversee corporate governance matters, including regulatory filings, licensing, and statutory compliance obligations
- Monitor legal and regulatory developments and provide clear, actionable guidance to stakeholders
- Drive and support compliance and governance initiatives across the organisation and its affiliates
- Manage relationships with external counsel, ensuring high-quality, commercially sound, and cost-efficient advice
- Collaborate with internal stakeholders across business and corporate functions as a trusted legal advisor
- Contribute to internal reporting and support regional legal coordination across APAC
Key Requirements of Legal Counsel – Corporate, Commercial & M&A:
- Qualified lawyer with strong grounding in corporate and commercial law
- 5–8 years PQE gained in private practice and/or in-house environments
- Experience in transactional work, with exposure to M&A and cross-border matters advantageous
- Sound knowledge of Singapore and/or regional legal and regulatory frameworks
- Strong drafting, negotiation, and analytical skills
- Ability to work independently and manage multiple priorities in a fast-paced environment
- Effective communicator with strong stakeholder management capabilities
- Detail-oriented, organised, and commercially minded approach
- Proven ability to manage and work effectively with external legal counsel
