Legal Counsel (7-Months Contract)

About PIDG

The Private Infrastructure Development Group (PIDG) is an innovative infrastructure project developer and investor which mobilises private investment in sustainable and inclusive infrastructure in sub-Saharan Africa and south and southeast Asia. PIDG offers technical assistance for upstream, early-stage activities and concessional capital invests in early-stage project development and project and corporate equity through its project development solution, InfraCo its debt solution EAAIF (the Emerging Africa & Asia Infrastructure Fund) is oneof the first and more successful blended debt funds in low-income markets and its guarantees solution, GuarantCo, provides credit enhancement and local currency solutions to de-risk projects. PIDG also supports a growing portfolio of local credit enhancement facilities, which unlock domestic institutional capital for infrastructure financing.

Since 2002, PIDG has supported 258 infrastructure projects to financial close, which provided an estimated 232 million people with access to new or improved infrastructure. PIDG is funded by the governments of the United Kingdom, the Netherlands, Switzerland, Australia and Sweden, and Global Affairs Canada.

About the role

Reporting to the Head of Legal, Asia and as a member of the Global Legal function of PIDG, the Legal Counsel will provide transactional and legal support across PIDG's investments and projects in Asia. The role supports PIDG's InfraCo project development and investment activities across multiple jurisdictions in Asia, working closely with the commercial teams throughout the project lifecycle.

This role offers significant responsibility, autonomy and the opportunity to work on complex infrastructure transactions in emerging and frontier markets.

Roles & Responsibilities

Project Development, Investments, Financing and Divestments

  • Work directly and independently with the various commercial teams to review, draft, negotiate and finalise legal documentation, including transaction related documents (NDAs, funding agreements, investment agreements and shareholder agreements, lease agreements, EPC contracts, PPA and offtake arrangements) as well as divestment related documents (including share sale agreements)
  • Manage, from a legal risk perspective, the documentation process for projects and investments
  • Advise on the legal aspects of project development, structuring, financing and operations, including project expansions, restructurings, winddowns and exits
  • Liaise with internal functions (Business Development, Investment Management, Asset Management, Sustainable Development Impact and Finance) in relation to legal aspects of projects
  • Work collaboratively with the Business Integrity team on project-related matters to ensure compliance with policies and seamless approach to transactions and
  • Manage and coordinate advice from external counsels as required.

Corporate aspects, risk management & functional support

  • Contribute to the creation, development and maintenance of global legal templates and guidance notes
  • Contribute to the creation, development, maintenance and communication of know-how, legal updates, legal policies and procedures
  • Maintain an updated understanding of the legal and regulatory framework in which PIDG operates and PIDG's risk and business integrity requirements
  • Manage, assist on or implement multi-jurisdictional or transversal projects when needed, including by close co-operation with other members of the Legal Team
  • Contribute to the development and execution of the Global Legal Team's functional cohesiveness and strategy and
  • Act in all circumstances as an ambassador of PIDG, displaying and demonstrating the highest ethical and moral standards.

Qualifications and education requirements

  • Bachelor of Law (or equivalent) and qualified in Singapore or any other common law jurisdiction with at least 3 to 5 years of relevant post-qualification experience in private practice and/or an in-house legal department.

Skills and Experience

  • Must be a team player, willing to help out wherever needed.
  • Strong transactional experience, with exposure to M&A, project finance, infrastructure or development finance transactions being highly advantageous.
  • Experience working on Asiabased transactions experience in emerging markets is a strong plus.
  • Comfortable working independently on transactions while collaborating effectively as part of a small, highperforming team.
  • Excellent drafting, negotiation and stakeholder management skills.
  • Should be highly proficient in both oral and written English. Proficiency in one or more of the regional languages in one of the countries where PIDG is mandated to work is a plus and
  • Should have a strong appreciation and passion for PIDG's mandate with a strong work ethic and desire to work in a dynamic, fast-paced and demanding environment.
