Job Description

Summary of Role / Job Focus:

The role requires a balance between being a legal subject matter expert and maintaining a broad understanding of various business activities to provide pragmatic, well-founded legal advice that minimizes risk and creates favorable conditions for the company.

Key Responsibilities:

1. Strategic Business Partnering and Risk Management

. Advisory: Acting as a business partner to internal clients, the Head of Legal resolves complex or contentious issues to enable appropriate business actions.

. Legal Monitoring: Keeping up-to-date with legislation, regulatory changes, and jurisprudence to pro-actively suggest and implement legal policies and Vopak guidelines.

. Risk Mitigation: Ensuring that operating companies and joint ventures comply with complex regulations to minimize overall legal risk.

2. Contractual and Project Support

. Document Drafting: The role involves drafting and reviewing a vast array of documents, including storage contracts, terminal services agreements, procurement contracts, and IT contracts.

. Corporate Transactions: Providing legal support for mergers, acquisitions, divestments, and joint ventures. This includes structuring deals, performing due diligence, assessing data rooms, and advising on go or no-go decisions.

. Project Finance: Supporting project financing and other forms of cooperation by maintaining a bird's-eye-view of conflicting stakeholder interests.

3. Compliance, Governance, and Training

. Internal Education: Conducting seminars and training on topics such as the Vopak Code of Conduct, anti-trust laws, and directors duties throughout Asia.

. Investigations: Supporting compliance-related investigations involving breaches of conduct, trade sanctions, bribery, fraud, or environmental non-compliance.

4. Dispute Resolution and External Relations

. Litigation Management: Managing all dispute resolutions, including litigation, mediation, and arbitration related to customer claims or labor disputes.

. External Counsel & Insurance: Selecting and supervising external counsel and managing group insurance claims, particularly those related to shipping and maritime issues (e.g., P&I clubs and loss adjusters).
