Job Description

We are partnering with an established investment firm to appoint a Legal Counsel to join its Singapore-based legal team.

This is an excellent opportunity for a junior lawyer to move into a broad in-house role covering a combination of investment funds, fundraising, corporate transactions and general commercial matters. The successful candidate will work closely with the Head of Legal, senior investment professionals and other stakeholders across the business.

Responsibilities

  • Supporting the firm's ongoing fundraising activities, including the establishment, structuring and operation of investment funds and related vehicles.
  • Reviewing and negotiating fund documentation, including subscription agreements, side letters, investor-related documentation and other fundraising materials.
  • Working alongside external counsel and internal stakeholders on fund formation, closings and investor negotiations.
  • Supporting corporate and transactional matters, including investments, acquisitions, disposals, joint ventures and other strategic transactions.
  • Drafting and negotiating a broad range of commercial agreements, including NDAs, engagement letters, service agreements, consultancy agreements and vendor contracts.
  • Supporting corporate governance and general corporate matters across the firm's entities and investment structures.
  • Providing practical legal support to investment, finance, operations and other business teams.
  • Assisting with the management of external counsel across relevant jurisdictions.
  • Supporting the Head of Legal on ad hoc legal, regulatory and strategic projects.

Requirements

  • Approximately 2 to 3 years post-qualification experience gained with a reputable law firm and/or investment management organisation.
  • Experience in investment funds, private funds, asset management or fundraising-related legal work.
  • Exposure to corporate, M&A or commercial transactional matters would be advantageous.
  • Strong drafting, analytical and communication skills.
  • A commercial and practical approach to legal issues.
  • The ability to work effectively with senior stakeholders and across different business functions.
  • Strong organisational skills and the ability to manage multiple workstreams.
  • Qualification in Singapore, England & Wales or another recognised common-law jurisdiction would be welcomed.
