Our Investment Funds Practice provides comprehensive legal services for all aspects of fundraising related to private investment funds. We guide clients through the structuring, formation and closing of fund vehicles across a wide range of asset classes, including private equity, venture capital, infrastructure, credit, real estate and sustainability/impact investing. We offer strategic advice to institutional investors, such as sovereign wealth funds, pension schemes, corporates and family offices, on potential investments into these funds. Additionally, our practice supports institutional investors with the buying or selling of existing fund interests through privately organized secondary transactions and investments into continuation funds. By helping clients navigate the complexities of fundraising and investment, our Investment Funds team ensures successful outcomes and supports sustainable growth.
White & Case has extensive experience assisting clients with structuring and forming investment funds, as well as investments into funds. We regularly advise a number of prominent clients in connection with fund formation, fund structuring, co-investments, joint ventures, managed accounts, secondary transactions, restructurings and other fund-related transactions.
Due to the variety of global mandates we are instructed on, our team benefits from wide-ranging exposure to market terms and investors. The team has an in-depth knowledge of current market structures and terms across all major fund categories, and we work with the firm's debt finance, M&A, regulatory and tax practices to ensure seamless efficient service on all aspects of fund raising, including regulatory and structuring concerns.
Our fund formation practice in Asia includes cutting edge Singapore law entities, offshore funds, Luxemburg structures (working with our Luxemburg office) and other bespoke structures.
The Roles And Responsibilities Of This Job Include
- Drafting, negotiating and reviewing fund documentation including PPMs, LPAs, Articles, investor side letters, legal opinions, subscription agreements and advisory agreements.
- Drafting term sheets and issues lists
- Issue spotting on legal, commercial and regulatory matters
- Liaising with internal regulatory and specialist teams, including in other offices and interfacing with clients
- Managing client matters from initial briefing to completion (under applicable supervision)
- Assisting with preparation of team thought leadership and know-how
