    Our client is a growing Japanese company with regional operations in Asia. As part of their business expansion and corporate development initiatives, they are currently strengthening their Singapore corporate functions and governance structure.
    They are looking for an experienced HR & Admin Manager to support HR, administration, corporate governance, compliance coordination, and regional office operations in Singapore.

    This role will work closely with the headquarters in Japan and external professional firms, including auditors, legal counsel, and corporate secretarial service providers, to support corporate governance and company secretarial functions across the region.

    【Responsibilities】
    - Support corporate governance and company secretarial matters for the Singapore entity and regional group companies.
    - Coordinate Board of Directors meetings, committee meetings, and shareholders meetings, including the preparation of agendas, resolutions, and meeting materials.
    - Prepare and maintain meeting minutes, statutory records, and governance documentation.
    - Support compliance with the Singapore Companies Act, SGX Listing Rules, and internal governance policies.
    - Assist in maintaining and updating company policies, internal regulations, and governance-related documents.
    - Coordinate with external professional firms, including auditors, legal counsel, and corporate secretarial service providers.
    - Support entity management matters for subsidiaries and affiliated companies.
    - Liaise with headquarters in Japan and overseas group entities on governance, compliance, and reporting matters.
    - Support internal control and compliance initiatives.
    - Handle ad hoc administrative and corporate governance-related duties as assigned by management.

Qualifications

  • Requirement

    【Requirements & Preferences】

    (Must Have)
    - Diploma or Bachelor's Degree in Business Administration, Law, Finance, Accounting, or a related field.
    - At least 5 years of relevant experience in corporate administration, corporate secretarial, or relevant experience in HR, General Affairs, and Administrative functions within a Singapore corporate environment
    - Strong knowledge of Singapore regulations and procedures related to EP, CPF, ACRA, and general corporate compliance
    - Proficiency in Japanese (JLPT N2 or equivalent) to communicate effectively with headquarters in Japan and Japanese-speaking stakeholders.

    (Advantageous)
    - Professional qualification such as ICSA (Chartered Governance Institute) or SAICSA.
    - Experience supporting company secretarial matters for SGX Mainboard and/or Catalist-listed companies.
    - Working experience in Japanese companies or Japanese-affiliated multinational corporations.
    - Exposure to IPO preparation processes for SGX, HKEX, TSE, or other major stock exchanges.
    - Knowledge of legal, compliance, and corporate governance matters.
    - Prior experience in audit firms, legal firms, or professional advisory environments.
    - Experience managing multiple entities and regional corporate administration matters.
    - Ability to coordinate and work closely with external corporate secretarial service providers and professional firms.
