About the Role
We are looking for a Head of Legal & Compliance to lead our Legal & Compliance function end to end. Reporting directly to the CEO, you will be the company's most senior legal and risk advisor, own the global legal and compliance agenda, and lead a distributed team across Singapore and China. This is a hands-on leadership role: you will set strategy and stay close to the substantive legal and regulatory work.
Responsibilities
Legal
- Lead all corporate and commercial legal matters across the group, including corporate governance, entity management, board and shareholder matters, and corporate transactions (investment, M&A, joint ventures).
- Own the commercial contracting framework: draft, review and negotiate client, vendor, partner and channel agreements, and improve templates, playbooks and approval workflows.
- Manage intellectual property, disputes, and external counsel across jurisdictions, controlling cost and quality.
- Provide practical, business-focused legal advice to the CEO, leadership team and business units.
- Support employment and labour matters as they arise (secondary to corporate and commercial work).
Compliance
- Own the group compliance framework, covering data privacy, regulatory compliance, anti-bribery and anti-corruption, and internal policy.
- Lead the data privacy program across markets, including Singapore PDPA and GDPR, cross-border data transfer arrangements, consent and notification, data breach response, and oversight of the DPO function.
- Ensure regulatory compliance for the company's payroll, EOR and HR services across the jurisdictions we operate in, including relevant licensing.
- Build and maintain risk registers, controls, training and monitoring, and report on legal and compliance risk to leadership.
Leadership
- Lead, develop and integrate the Legal & Compliance team across Singapore and China.
- Partner with Sales, Product, Finance, HR and Operations as a trusted advisor who enables the business while managing risk.
Qualifications
- Qualified lawyer admitted in a common law jurisdiction (Singapore admission preferred).
- 12+ years of post-qualification experience, with a strong mix of in-house and, ideally, private practice.
- Proven experience leading a legal and/or compliance function and managing teams, ideally across multiple jurisdictions.
- Solid data privacy and compliance background; hands-on experience building or running a privacy program (PDPA, GDPR). A privacy certification (e.g. CIPP, CIPM) is an advantage.
- Industry background in technology, SaaS, HR, payroll or fintech is strongly preferred.
- Fluent in English and Chinese (able to work directly with teams and stakeholders across Asia), with strong international exposure and the judgement to operate across cultures and legal systems.
- Commercial, pragmatic and comfortable being both a strategic leader and a hands-on practitioner in a fast-moving environment.
Required Skills
- Experience in a high-growth, pre-IPO or listed company environment.
- Regional (APAC) or global remit in a prior role.
- Exposure to employment/labour law across markets.
