Our client is a newly established, PE-backed digital infrastructure platform with ambitious regional growth plans across Asia. As the business enters its next phase of expansion, they are looking to appoint a Head of Legal as a key pioneer hire.
This is an exciting opportunity for a commercially minded lawyer to join a high-growth platform at an early stage and play a critical role in shaping the legal function, supporting strategic growth initiatives, and working closely with senior management, investors and external advisers.
The successful candidate will be hands-on, pragmatic and comfortable operating in a fast-paced, entrepreneurial environment.
Key Responsibilities
- You will act as the lead legal adviser for the business and support a broad range of legal and commercial matters, including:
- Advising senior management and investors on legal, regulatory and commercial matters across the platform.
- Supporting development, acquisition and expansion of digital infrastructure assets across the region.
- Drafting, reviewing and negotiating commercial contracts, customer agreements, vendor contracts and service arrangements.
- Advising on real estate, construction, EPC, project development and asset-level matters.
- Supporting M&A, joint ventures, financing, fundraising and corporate transactions where required.
- Managing corporate governance, board matters and shareholder-related documentation.
- Overseeing regulatory, compliance, risk and corporate secretarial matters.
- Managing external counsel across multiple jurisdictions.
- Building legal processes, templates, policies and governance frameworks from the ground up.
- Acting as a strategic business partner to commercial, finance, investment, development and operational teams.
Requirements
- Qualified lawyer with approximately 8–12 years PQE.
- Prior experience in digital infrastructure, data centres, telecommunications infrastructure, real estate, infrastructure, energy or related sectors will be highly relevant.
- Experience with project development, construction/EPC, real estate, M&A, financing and/or commercial contracts will be strongly regarded.
- Prior in-house experience preferred, although strong private practice candidates with relevant sector exposure may also be considered.
- Comfortable being the first or pioneer legal hire in a high-growth platform.
- Strong commercial judgment and ability to balance legal risk with business objectives.
- Hands-on, solutions-oriented and adaptable.
- Confident engaging with senior stakeholders, investors, board members and external advisers.
- Regional APAC experience will be advantageous.
