About the Job

Liberti is preparing to launch the Liberti Exchange in Singapore, a platform for secondary trading in private company shares, and is applying to the Monetary Authority of Singapore for a Capital Markets Services licence and Recognised Market Operator recognition. We are looking for a legal and compliance professional to build and run both functions for the to-be-authorised Singapore entity.

The Role

This is a senior position with real ownership. You will take the Singapore entity through licensing, then run its compliance function and serve as its appointed AML/CFT compliance officer, while also supporting the business on legal matters — without compromising the independence of compliance.

We are early in Singapore, with limited staff and operations. The role will grow with the company, so we are flexible about the exact division of duties and expect you to bring the same open mind.

Main Responsibilities

  • Take the RMO and CMSL applications through to authorisation — the compliance framework, the policies, the submissions, and MAS's questions along the way
  • Act as the firm's principal point of contact for MAS and other regulatory authorities
  • Own the compliance monitoring plan and the risk assessments behind it
  • Run market surveillance for the trading platform, including the reporting and enforcement that follows from it
  • Serve as appointed AML/CFT compliance officer: participant onboarding, transaction monitoring, sanctions and name screening, alert analysis, and suspicious transaction reporting
  • Report to the Board and to the regulators, and advise the Board on legal and regulatory questions as the business develops
  • Draft the client, participant and intra-group agreements — including the arrangements under which the Singapore entity receives platform services from Liberti Labs, and the outsourcing controls MAS expects around them
  • Handle the corporate legal work of a new entity: corporate decisions, employment matters, PDPA, and IP
  • Train staff and the Board, track regulatory change, and keep the registers the firm is required to maintain
  • Manage external counsel, and build out a compliance team when the time comes

Expectations

  • 5–10 years of post-qualification experience in capital markets or securities trading — ideally in compliance, AML or legal
  • Deep knowledge of the RMO and CMSL regimes and the MAS framework around them: the Securities and Futures Act 2001, the CDSA and TSOFA, and the AML/CFT notices for market operators (SFA02-N05) and capital markets intermediaries (SFA 04-N02)
  • A track record of writing compliance frameworks and policies, and of actually rolling them out
  • Strong contract and corporate law foundations, and plain-English drafting
  • Someone who works independently, decides pragmatically, and communicates clearly to boards, regulators and engineers alike
  • Prior experience of a MAS licensing process, or of an appointed compliance or AML role at a regulated firm, is a significant advantage — as is private markets, secondary transactions, or working across jurisdictions in a group structure
