Job Description

Cana Consulting is partnering a PE-backed Infrastructure company with global footprints. We are looking for an experienced and sophisticated Company Secretary to be part of this exciting growth agenda. This role reports directly to the Group Company Secretary.

Responsibilities:

  • Oversee corporate secretarial and governance matters across a portfolio of regional subsidiary entities
  • Ensure compliance with statutory, regulatory and internal governance requirements across multiple jurisdictions
  • Manage and guide a small corporate secretarial team to ensure effective delivery of governance support
  • Supervise external corporate secretarial service providers and coordinate entity management activities
  • Support boards and senior leadership on governance matters, including preparation of board papers, agendas and meeting materials
  • Review and finalise board minutes and maintain statutory registers and corporate records
  • Assist with group structuring initiatives including entity incorporations and reorganisations
  • Support capital management activities such as financing transactions, shareholder resolutions and regulatory filings
  • Monitor legislative and regulatory developments and advise on governance implications
  • Drive improvements in corporate governance frameworks, processes and digital tools to enhance efficiency
  • Partner closely with internal stakeholders including legal, finance, treasury and tax teams across the region

Requirements

  • Degree in Law, Business, or related discipline; governance qualifications are advantageous
  • Approximately 10-15 years of experience in corporate secretarial or governance roles
  • Experience supporting regional or multi-jurisdiction corporate structures
  • Strong familiarity with company law and corporate governance frameworks
  • Experience supporting board and committee governance processes
  • Demonstrated ability to manage stakeholders and coordinate across multiple functions
  • Prior experience leading or mentoring a team is preferred
  • Strong communication skills and the ability to operate in a fast-paced, high-growth environment
  • Highly organised with the ability to manage multiple priorities and confidential matters
  • This position is open to existing lawyers who would have company secretarial experiences
