A leading Singapore-headquartered group holding company with diversified business interests is seeking to appoint a Head of Legal to lead its legal, governance, and corporate secretarial functions.
This role is responsible for ensuring the organisation operates within a robust legal, regulatory, and corporate governance framework. The successful candidate will serve as a trusted advisor to senior management and the Board on legal, governance, and entity management matters.
Key Responsibilities
- Provide strategic legal counsel to senior leadership on corporate structuring, commercial contracts, regulatory requirements, and risk management matters.
- Oversee and manage corporate secretarial and governance functions, including board administration, statutory filings, and maintenance of governance policies and frameworks.
- Act as the primary legal advisor on strategic transactions, including mergers & acquisitions, divestments, joint ventures, and investment activities.
- Partner closely with internal investment teams to support transaction execution and due diligence processes.
- Manage relationships with external legal counsel and advisors, ensuring effective and cost-efficient legal support.
- Strengthen governance standards across the group's subsidiaries, including oversight of board and shareholder matters where required.
Requirements
- At least 15 years post-qualification experience (PQE) in corporate law, with strong exposure to M&A and governance advisory.
- Experience gained within large organisations, conglomerates, investment groups, or leading law firms supporting complex corporate structures.
- Prior corporate secretarial or governance leadership experience will be highly advantageous.
- Strong stakeholder management skills with the ability to advise senior executives and board members.
