Job Description

We are seeking a seasoned legal professional with circa 20 years PQE and above, currently operating as a Partner in a top-tier M&A/Private Equity law firm, to transition into the role of General Counsel for a conglomerate with a diverse and global business portfolio. This is a senior, hands-on transactional role that also requires strong leadership to guide and mentor an internal legal team, as well as provide oversight for portfolio companies.

Key Responsibilities:

  • Serve as the senior legal advisor to the executive leadership team and board of directors on strategic transactions, M&A, private equity investments, and other complex commercial matters.
  • Lead and manage the legal function, including direct oversight of a high-performing in-house legal team and legal professionals across portfolio companies.
  • Provide leadership on structuring, negotiating, and executing M&A transactions, joint ventures, divestitures, and strategic partnerships globally.
  • Work closely with business units and portfolio companies to manage legal risk, ensure compliance, and navigate complex regulatory landscapes across multiple jurisdictions.
  • Oversee external legal counsel and manage relationships with law firms, ensuring the highest quality of service and efficient legal spend.
  • Advise on corporate governance, including board and committee matters, shareholder relations, and compliance with listing rules (if applicable)
  • Collaborate with senior executives and cross-functional teams to support the company's business goals, acting as a trusted advisor on risk management and strategic growth
  • Act as a mentor and leader within the legal department, fostering professional development and operational excellence.

Requirements

  • Circa 20 years of PQE with substantial experience in M&A and Private Equity, preferably as a Partner in a reputable international law firm.
  • Demonstrated track record of successfully leading large, cross-border transactions and managing all aspects of deal execution, including due diligence, structuring, negotiation, and post-transaction integration.
  • Strong understanding of corporate governance and regulatory frameworks across global jurisdictions.
  • Hands-on and detail-oriented approach, with the ability to balance day-to-day transactional work with strategic leadership.
  • Proven ability to lead and develop a legal team and manage relationships with portfolio companies and external advisors.
  • Excellent communication and negotiation skills, with the ability to influence and advise senior stakeholders.
  • Experience working in or advising conglomerates or large multinational corporations is highly regarded.
