Join a dynamic team as a Legal Manager where you will spearhead a variety of corporate legal matters and compliance initiatives. This role offers the opportunity to influence legal practices while ensuring regulatory adherence.
Responsibilities
- Manage a diverse range of general corporate legal matters, including drafting, reviewing, and negotiating corporate and commercial transaction agreements. Provide insights on applicable laws, regulations, and compliance requirements. Ensure adherence to regulatory standards under the Companies Act and other relevant laws. Collaborate with external legal counsel across different jurisdictions on various matters. Advise on and facilitate training regarding the Companies Act and Personal Data Protection Act, including preparing training materials. Lead continuous improvement initiatives within the legal function by reviewing policies, collation of data, and preparation of reports and policy papers. Draft compliance policies and ensure effective implementation throughout the organization. Monitor regulatory developments and revise compliance policies and procedures as necessary. Handle comprehensive corporate secretarial duties for local and overseas subsidiaries, including drafting resolutions, minutes, and announcements. Organize and oversee directors and shareholders meetings, including documentation preparation and attendance. Maintain communication and relationships with shareholders, addressing inquiries and coordinating meetings. Maintain corporate secretariat records and facilitate periodic audits. Collaborate with registered agents in various jurisdictions concerning corporate secretarial matters.
Requirements
- Bachelor's Degree in Law. Minimum of 1-2 years of relevant experience in corporate commercial law, either in-house or through a law firm. Familiarity with corporate advisory work, including company and contract laws. Knowledge of SGX Listing Rules and Regulations is advantageous. Capacity to work independently and manage tasks in a fast-paced environment. Completion of ICSA or relevant postgraduate/professional qualifications is preferred.
