We are partnering with a leading global MNC to appoint an experienced Corporate Secretary to lead the corporate secretariat and governance function. This is a strategic leadership role that supports the Board of Directors and senior management in driving governance excellence, ensuring compliance, and harmonizing governance standards across the Group.
Responsibilities
- Lead and manage the Group's corporate secretarial and governance function, ensuring alignment with international standards and regulatory requirements.
- Serve as an advisor to the Board and senior leadership on governance, compliance, and directors duties across multiple jurisdictions.
- Oversee Board and Committee meetings, AGMs, and key governance events, including preparation of materials, minutes, and statutory filings.
- Drive consistency and best practices in governance across subsidiaries, joint ventures, and overseas entities.
- Support group-level corporate exercises such as M&A, restructuring, divestments, and joint ventures from a governance and secretariat perspective.
Requirements
- Chartered Secretaries Institute of Singapore qualification is essential; a degree in Law, Business, or related discipline preferred.
- At least 10 years of corporate secretarial experience, including recent years in a leadership position.
- Proven experience supporting Boards of Directors and C-suite leadership in complex, cross-border environments.
- Strong understanding of international governance standards, compliance frameworks, and regulatory obligations.
- Excellent leadership, stakeholder management, and communication skills, with high integrity and attention to detail.
