Role Overview
You will be part of Cambridge Advisers Corporate Services team, supporting a diverse portfolio of Singapore and offshore entities, including private companies, fund structures, VCCs, limited partnerships, branches, and representative offices. The role spans execution, review, and client-facing responsibilities, with progression opportunities into a team lead or subject-matter specialist role.
Key Responsibilities
Corporate Secretarial & Statutory Compliance
- Handle a full spectrum of corporate secretarial work for Singapore and offshore entities, including companies, VCCs, limited partnerships, branches, and representative offices.
- Prepare, review, and/or oversee statutory documents such as board and shareholders resolutions, minutes, AGM/EGM documentation, incorporation and striking-off packs, and other corporate actions.
- Ensure timely and accurate filings with ACRA and other relevant authorities in accordance with statutory deadlines.
- Maintain and update statutory registers and records, including Registers of Members, Directors, Charges, Registrable Controllers, and Nominee Directors.
- Ensure end-to-end completeness of transactions from document preparation to regulatory filings with ACRA and IRAS.
Fund & Share-Related Transactions
- Handle share-related transactions including share allotments, transfers, redemptions, preference shares, profit distributions, and other capital-related matters.
- Prepare and/or review documentation for complex or non-routine corporate transactions.
- Manage stamp duty assessment and filings with IRAS for private companies and VCCs.
Meetings & Governance
- Organise, attend, and support Board, Investment Committee, and Members Meetings, including preparation and coordination of board packs.
- Respond to auditors queries and liaise with auditors during statutory audits.
- Stay abreast of regulatory developments, including changes to the Singapore Companies Act and ACRA requirements, and disseminate updates internally.
Client & Stakeholder Management
- Act as a key point of contact for clients, addressing corporate secretarial queries in a timely and professional manner.
- Maintain strong working relationships with clients, directors, bankers, auditors, tax agents, fund managers, and other intermediaries.
- Support client onboarding, KYC reviews, and periodic compliance reviews.
Operational & Team Responsibilities
- Assist with or oversee Corppass registration and authorisation matters.
- Support work pass applications and related passes for foreign employees of clients and their dependants, where applicable.
- Participate in billing processes, internal reporting, and enhancement of internal corporate secretarial processes and procedures.
- Provide guidance, review work prepared by junior team members, and support training and capability development within the team.
- Perform other ad hoc assignments as required.
Requirements & Qualifications
Experience
- Senior Executive: Minimum 35 years of relevant corporate secretarial experience.
- Assistant Manager: Typically 710 years of relevant experience, with exposure to complex transactions and portfolio management.
Qualifications
- ISCA graduate or currently pursuing ISCA qualification is preferred.
- Diploma or Degree in Business Administration, Commerce, Law, or related disciplines.
- Candidates without formal qualifications but with strong relevant experience are welcome to apply.
- Technical Knowledge
- Strong working knowledge of the Singapore Companies Act and corporate governance requirements.
- Experience with fund structures (e.g. VCCs, limited partnerships) is an advantage.
- Familiarity with ACRA, IRAS, and Corppass systems.
