Summary
A corporate secretary focuses on end-to-end entity management and client compliance. Responsibilities blend legal administration with advisory duties. The core job scope involves managing customer portfolios, ensuring rigorous adherence to local regulations (such as the Singapore Companies Act), and handling corporate filings.
Responsibilities:
- Compliance & Filings: Execute required reviews and filings with regulatory bodies like ACRA, IRAS, and other government agencies.
- Document Management: Draft and prepare board resolutions, meeting minutes, and maintain company registers and minute books.
- Meeting Coordination: Assist client companies in organizing and executing Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
- Consulting & Client Service: Advise global and local clients on corporate secretarial matters and assist in the incorporation and registration of new entities.
- Risk Management: Enforce Anti-Money Laundering (AML) and Know Your Customer (KYC) policies in collaboration with the compliance team
Requirements:
- Diploma/Degree in Business, Law, or related field
- Min 3 years of hands-on corporate secretarial experience, ideally within a corporate service provider or consulting environment.
- Corporate secretarial experience preferred (including ACRA filings)
- Familiar with Companies Act and statutory compliance
- Detail-oriented, proactive, and able to work independently
