About the Role

Utrust Strategy Pte. Ltd. is seeking an experienced and detail-oriented Corporate Secretary to manage a portfolio of Singapore-incorporated companies and provide comprehensive corporate secretarial support to our clients.

The successful candidate should be able to manage corporate secretarial matters independently, provide practical guidance on statutory compliance and ensure that all corporate records and filings are accurately maintained and completed within the required deadlines.

Key Responsibilities

  • Independently manage a portfolio of Singapore-incorporated companies and provide a full range of corporate secretarial services.

  • Manage company incorporations, registrations, annual returns and other statutory filings with the Accounting and Corporate Regulatory Authority (ACRA).

  • Prepare and maintain statutory registers, company records, registers of registrable controllers and nominee directors, where applicable.

  • Organise and coordinate Annual General Meetings, Extraordinary General Meetings and board meetings.

  • Prepare meeting notices, agendas, proxy forms, written resolutions, minutes and other supporting documents.

  • Draft and review directors and shareholders resolutions, notices, minutes and other corporate documents.

  • Handle changes to company structures and particulars, including:

    • Appointment and resignation of directors, company secretaries and other officers

    • Share transfers and share allotments

    • Changes in share capital

    • Changes to registered office addresses and company particulars and

    • Amendments to company constitutions.

  • Monitor statutory deadlines and ensure timely compliance with the Singapore Companies Act, ACRA requirements and other applicable regulations.

  • Conduct client due diligence and support the company's compliance with applicable AML, CFT and corporate service provider requirements.

  • Liaise professionally with clients, directors, shareholders, auditors, legal advisers, banks and relevant government authorities.

  • Provide clients with practical guidance on corporate governance, statutory obligations and corporate secretarial procedures.

  • Ensure that corporate records and supporting documents are complete, accurate, properly maintained and kept up to date.

  • Assist with the development and improvement of internal corporate secretarial procedures, templates and compliance controls.

  • Support other corporate secretarial, compliance and administrative projects when required.

Requirements

  • Bachelor's degree in Corporate Governance, Business Administration, Finance, Accounting, Law or a related discipline.

  • Registered as, or qualified and eligible to be registered as, a Registered Qualified Individual (RQI).

  • Relevant professional qualifications in corporate secretarial practice or corporate governance will be an advantage.

  • At least 3-5 years of relevant corporate secretarial experience, preferably with a corporate services provider, professional services firm or corporate secretarial consultancy.

  • Strong working knowledge of the Singapore Companies Act, ACRA requirements and corporate governance practices.

  • Demonstrated ability to manage a portfolio of companies independently and meet multiple statutory deadlines.

  • Hands-on experience with ACRA BizFile+ and related statutory filing procedures.

  • Familiarity with AML/CFT, client due diligence and corporate service provider compliance requirements will be an advantage.

  • Excellent attention to detail, with strong organisational, documentation and time-management skills.

  • Strong written and verbal communication skills.

  • Able to work independently while collaborating effectively with colleagues, clients and external stakeholders.

  • Professional, responsible and comfortable handling confidential or sensitive information.

  • Experience supporting family offices, investment firms, asset management companies or other professional-services clients will be an advantage.
