Job Responsibilities:
- Manage a portfolio of Singapore-incorporated companies and provide full range of corporate secretarial services.
- Coordinate and manage Annual General Meetings (AGMs), including preparation of notices, agendas, resolutions, proxy forms and meeting materials.
- Handle company incorporations, registrations, statutory filings, annual returns and other ACRA-related matters.
- Prepare and maintain statutory registers, company records, resolutions and meeting minutes.
- Draft and review board and shareholders resolutions, notices and other corporate documents.
- Assist with company changes, including appointments and resignations of directors/officers, share transfers, allotments and changes to company particulars.
- Ensure timely compliance with the Companies Act and applicable statutory requirements.
- Liaise with clients, directors, shareholders and relevant authorities on corporate secretarial matters.
- Provide support and advice to clients on corporate governance and statutory compliance matters.
- Maintain accurate and up-to-date corporate records and ensure proper documentation
- Support ad-hoc corporate secretarial and administrative projects as required.
Job Requirements:
- Bachelor's degree in Corporate Governance, Business Administration, Finance, Accounting, Law or a related discipline.
- CSP (Corporate Service Provider) / RQI (Registered Qualified Individual) certification or relevant registration is required.
- With 3 - 5 years of relevant corporate secretarial experience, preferably gained from a Corporate Secretarial / Corporate Services Consultancy Firm.
- Strong knowledge of Singapore Companies Act, ACRA requirements and corporate governance practices.
- Hands-on experience managing a portfolio of companies independently.
- Familiarity with ACRA BizFile+ and other statutory filing requirements.
- Strong attention to detail, organisational and time-management skills.
- Good written and verbal communication skills.
- Able to work independently as well as collaborate effectively with internal and external stakeholders.
- Candidates with experience supporting family offices, investment firms, asset management companies or other professional services clients will have an added advantage.
