We are looking for a Corporate Secretarial Senior / Assistant Manager / Manager who will support the delivery of corporate secretarial services and ensure compliance with statutory and regulatory requirements.

Job Description

Management of end-to-end corporate secretarial functions, including, but not limited to:

  • Provide corporate secretarial support to clients
  • Company incorporation
  • Amendments to company constitution
  • Share allotment and/or share transfers
  • Preparation of board meetings and AGMs documentations (e.g., minutes, resolutions and articles of association)
  • Meeting attendance and minute-taking
  • Attend to client enquiry on Corporate Secretarial engagement matters
  • Supervise Corporate Secretarial Associates work on engagement matters and ACRA filing
  • Ensure timely AGM reminders and Filing of Annual Returns
  • Maintain and upkeep statutory registers
  • Perform AML KYC procedures
  • Prepare and submit fee quotations to clients for ad-hoc corporate secretarial services

Job Requirements

  • Bachelor's degree in accountancy/business/legal studies or related disciplines
  • 3 - 5 years of relevant experience in Corporate Secretarial is preferred
  • Qualified Chartered Secretary or holder of other relevant professional qualifications
  • Proven supervisory experience in managing junior corporate secretarial professionals
  • Prior experience in a corporate service provider environment will be advantageous
  • Good knowledge of Companies Act and Anti-Money Laundering (AML) / Counter-Financing of Terrorism (CFT) requirements of registered filing agents
  • Exposure to public unlisted entities and non-profit organisation will be a plus
  • Team player with good initiative and strong interpersonal skills
  • Excellent oral and written communication skills
  • Meticulous, organised and possess positive working attitude
